京城機電股份(00187.HK):君正公司與天海低温達成調解協議
格隆匯12月14日丨京城機電股份(00187.HK)公吿，近日，公司收到上海市高院作出的民事調解書（(2021)滬民終392號），在二審訴訟中，經上海市高院主持調解，君正公司與天海低温就本案與上海市第一中級人民法院(2021)滬01民終10885號、(2021)滬01民終10888號三案自願一併達成如下調解協議，請求上海市高院確認.
（一）款項結算:1、雙方確認，君正公司應向天海低温支付剩餘合同價款人民幣2,568,085.6元、支付倉儲費人民幣1,300,000元。2、雙方同意，天海低温不再向君正公司交付25台罐箱。天海低温應向君正公司退還該25台罐箱對應的罐箱價款，單價為人民幣416,000元╱台，25台罐箱合計人民幣10,400,000元。
（二）撤回10885號案、10888號案起訴:1、調解協議生效之日起3日內，君正公司向上海市第一中級人民法院申請撤回10885號案、10888號案的起訴以及上訴，並將申請撤訴文件原件提供給天海低温。對此，天海公司表示同意，並配合君正公司辦理撤訴工作。雙方確認，如君正公司逾期未提交撤回申請或天海公司未配合辦理相關配合工作，任何一方均有權持《民事調解書》請求上海市第一中級人民法院辦理撤回手續。2、10885號案、10888號案的一審受理費和二審受理費均由君正公司自行承擔。
（三） 罐箱提貨:1、三案件合計應提貨124台。在調解協議生效之日起10日內，天海低温完成對前述罐箱的清潔工作。2、自調解協議生效後第11日起，君正公司在15日內完成對124台的全部提貨。在每次提貨前3日，君正公司應向天海低温出具提貨計劃，明確提貨罐箱數量、貨運公司名稱、提貨具體日期和時間、提貨人員信息等。天海低温應配合君正公司提貨。
（四）款項支付:1、以上所述的124台全部完成提貨後10日內，由天海低温以出具之日起6個月內到期的銀行承兑匯票和╱或電匯方式向君正公司支付人民幣6,859,707.27元。2、君正公司承諾於天海低温完成人民幣6,859,707.27元款項支付的次日，向法院申請解除對天海低温的所有保全措施，包括但不限於解除對北京銀行右安門支行（即本案被查封賬號01090348500120109113778）的查封。
截至本公吿日期，公司附屬公司北京天海工業有限公司持有天海低温75%股權。各項款項抵銷後，天海低温應向君正公司共計支付款項人民幣6,859,707.27元。
