ST三五(300051.SZ)：控股股東、實控人與綠滋餚控股的表決權委託相關事項終止
格隆匯12月13日丨ST三五(300051.SZ)公佈，公司獲悉龔少暉與江西綠滋餚控股有限公司(“綠滋餚控股”)、海南巨星科技有限公司(“海南巨星”)等各方主體於今日簽署《還款及表決權委託、投資意向終止協議》。
為妥善解決龔少暉的債務問題，促進上市公司有序發展，綠滋餚控股和龔少暉同意：自《終止協議》生效後，綠滋餚控股和龔少暉此前已簽署的全部協議均自動終止，不再執行，相關權利義務以《終止協議》為準；至《終止協議》簽署時，綠滋餚控股對龔少暉享有的債權總額為本金7000萬元；就龔少暉對綠滋餚控股負有的利息、違約金等其他債務，綠滋餚控股同意全部無條件豁免即不再要求龔少暉支付。龔少暉應按照約定向綠滋餚控股償還前述債務7000萬元。
綠滋餚控股和龔少暉先生、海南巨星就相關款項償還達成如下約定：
1、各方一致同意，龔少暉應按照如下安排分期向綠滋餚控股償還債務即7000萬元：(1)本協議簽署後兩個工作日內，龔少暉向綠滋餚控股償還1000萬元(“第一期款項”)；(2)2021年12月31日前，龔少暉向綠滋餚控股償還1000萬元(“第二期款項”)；(3)2022年12月31日前，龔少暉向綠滋餚控股償還1000萬元；(4)2023年12月31日前，龔少暉向綠滋餚控股償還1000萬元；(5)2024年12月31日前，龔少暉向綠滋餚控股償還1000萬元；(6)2025年12月31日前，龔少暉向綠滋餚控股償還1000萬元；(7)2026年12月31日前，龔少暉先生向綠滋餚控股償還1000萬元。
2、為緩解龔少暉的債務壓力，海南巨星同意代龔少暉償還第一期款項及第二期款項，即《終止協議》簽署後的兩個工作日內的1000萬元以及202年12月31日前的1000萬元，海南巨星代償後有權向龔少暉追償；就《終止協議》前述(3)至(7)項約定的義務，海南巨星承諾作為龔少暉的擔保方，為龔少暉償還上述借款提供連帶責任保證擔保，擔保期限為上述款項履行期屆滿之日起一年。如龔少暉未按時償還相關借款，綠滋餚控股有權要求海南巨星於相應還款期限屆滿後10個工作日內代龔少暉償還借款，海南巨星代為履行相關義務後有權向龔少暉追償。
此次《終止協議》簽署後，公司於2020年6月29日披露的《詳式權益變動報吿書》等公吿中所述的表決權委託事項(龔少暉將表決權委託給綠滋餚控股)、控制權變動事項(控股股東由龔少暉變更為綠滋餚控股、實際控制人由龔少暉變更為肖志峯、歐陽國花夫婦)之情形不再發生，附生效條件的表決權委託法律關係消滅；公司當前控股股東、實際控制人仍為龔少暉。此次各方簽署《終止協議》能夠在一定程度上緩解龔少暉的償債壓力，保障了公司股權結構的穩定，有利於公司的正常經營，促進公司健康可持續發展，切實維護公司及全體股東利益。
