鹽湖股份(000792.SZ)：與國軒高科簽訂戰略合作框架協議
格隆匯12月13日丨鹽湖股份(000792.SZ)公佈，公司與國軒高科股份有限公司(“國軒高科”)於2021年12月13日簽訂了《戰略合作框架協議》。為了充分發揮雙方在鋰鹽提取和鋰電新能源電池材料加工、製造、研發等領域的優勢，經雙方友好協商，擬在新能源、鋰電、科技研發、鋰鎂材料、人才培養等領域深度合作，推動雙方在新能源產業領域的競爭力提升和業務快速發展。
協議主要內容如下：
(一)鋰電新能源產業鏈合作。雙方合作擬設立合資公司分別用於生產磷酸鐵鋰等正極電池材料和儲能電池。擬設立的合資公司相互持股，深度合作，形成穩定的新能源產業鏈體系。
(二)鋰鎂新材料領域的合作。憑藉鹽湖股份豐富的鎂資源，藉助產業和市場優勢，雙方將在鎂鋁、鎂鋰合金等新材料領域開展合作。
(三)建立技術研發平台。雙方可研究在合肥合資成立新產品技術研發平台的可行性，研究開發精細化及高附加值鋰產業鏈產品。
(四)人才培養方面的合作。公司具有較強的鋰電新能源研發團隊，鹽湖股份在高鎂鋰比鹽湖提鋰方面擁有核心關鍵技術人才，雙方可加強在鋰電新能源方面的人才培養，形成互動機制，共同促進鋰電行業全產業鏈技術的深度結合。
(五)知識產權。雙方承諾尊重並保護對方的知識產權，不得在本協議及依據本協議而簽署的其他協議約定的許可範圍之外使用對方知識產權，包括但不限於對方的任何商號、服務商標、品牌、商標以及未經授權的專利技術等。
(六)本協議為雙方戰略合作框架協議，所約定事項僅作為各方今後業務戰略合作的意向性文件，在開展具體合作業務時，以另行商洽簽訂的具體合作協議/合同內容為準。
(七)期限和終止。《戰略合作框架協議》經雙方簽字並蓋章之日起生效，有效期3年。期滿後、各方如無異議，則可另行續簽書面協議。《戰略合作框架協議》的任何修改、變更或增減須經協議各方書面同意才能生效。任何一方可以提前30天書面通知的形式而終止《戰略合作框架協議》及雙方之間的戰略合作關係。
公司與國軒高科作為鋰資源開發和鋰新能源電池材料研發、生產、製造的大型企業。基於雙方在鋰鹽提取和鋰電新能源電池材料加工、製造、研發等領域優勢，擬在新能源、鋰電、科技研發、鋰鎂材料、人才培養等領域深度合作。此次協議僅為戰略合作的框架性協議，對公司2021年度經營業績不會產生重大影響。雙方或將會就有關合作具體事宜另行商議及簽訂其他協議。
