世茂服務(00873):擬16.5億元收購上海世茂在中國從事的物業管理業務及相關增值服務

格隆匯12月13日丨世茂服務(00873)公佈,於2021年12月13日,公司與上海世茂訂立該協議,據此,公司擬向上海世茂收購其在中國從事的物業管理服務業務及相關增值服務,代價為人民幣16.535億元。

據悉,目標業務是上海世茂通過其全資附屬公司世茂物業管理有限公司及其他29家附屬公司在中國從事的物業管理服務業務及相關增值服務,其包括在中國提供商業/住宅及其他物業(包括但限於商業綜合體、政府及公共設施)的物業管理服務、非業主增值服務及社區增值服務。截至2021年6月30日,目標業務在14個省份及24個城市有70個項目,在管建築面積約為465萬平方米,合約建築面積約為1079萬平方米。目標業務於2021年6月30日的資產淨值約為人民幣9330萬元。

集團是中國領先的綜合物業管理和社區生活服務提供商,於中國26個省份100多個城市提供物業管理服務。於2021年6月30日,集團的合約建築面積約為239.2百萬平方米,在管總建築面積為175.0百萬平方米。收購事項將與集團的現有營運及業務佈局相輔相成,鞏固其現有的優勢地位,產生協同效應,加速公司發展,並創造更大價值。此次收購交割後,公司將可以進入商業物業管理和設施設備管理等細分領域。通過此次收購所獲取的項目均在一線和重點二線城市,有諸多城市地標項目,具有很好的品牌效應,將極大助力公司市場業務拓展。同時,標的在管商業專案的客户屬於高端客户,為公司創造了進一步發掘業務的可能。
