穗恆運Ａ(000531.SZ)：與科華數據簽訂戰略合作框架協議
格隆匯12月13日丨穗恆運Ａ(000531.SZ)公佈，公司與科華數據股份有限公司(“科華數據”)於近日簽訂《戰略合作框架》。
甲方：廣州恆運企業集團股份有限公司，乙方： 科華數據股份有限公司，戰略合作框架的主要內容如下：
1、乙方同意參股甲方全資設立的廣州恆運儲能科技有限公司(暫定名，最終以工商行政管理部門核准登記為準)，所佔股比由雙方商議決定，具體方式由雙方另行簽訂投資協議。廣州恆運儲能科技公司(“恆運儲能公司”)將致力於新型儲能技術的商業應用，以投資運營發電側、電網側、用户側儲能電站為起點，研究儲能核心技術，為用户提供儲能集成解決方案。
2、甲乙雙方集中優勢資源，以恆運儲能公司為載體共同在華南區域開發儲能項目，推動項目立項審批，進行項目建設運營。
3、恆運儲能公司可根據儲能集成服務項目對技術、價格等需求情況，將項目所需的儲能產品，在同等條件下優先委託乙方生產，乙方承諾所供產品價格不高於其向國內同類型項目的報價，具體以項目實際情況雙方另行簽訂供貨合同；同時雙方共同組建專業的儲能集成技術團隊。
4、甲乙雙方同意依託恆運儲能公司共同成立儲能應用技術研究院，在儲能產業鏈核心技術與集成技術方面進行研發，適時將研發成果在恆運儲能公司進行技術商業化轉化並與乙方核心產品形成協同發展的格局，提高產品市場優勢和競爭力。
5、乙方同意將其在廣東省內已建成運營的數據中心整合進入恆運儲能公司的虛擬電廠，參與廣東省電力市場交易共同獲利；同時甲乙雙方就數據中心綠電應用及政策申請等方面開展深入合作。
6、甲方同意為乙方在廣州的投資提供服務，乙方全力協助甲方開展招商工作。
7、關於恆運儲能公司的成立決定，須以各方的股東會、董事會以及政府國有資產管理部門的審批結果為準。
