藍英裝備(300293.SZ)：收到遼寧證監局警示函
格隆匯12月10日丨藍英裝備(300293.SZ)公佈，公司於近日收到中國證券監督管理委員會遼寧監管局下達的行政監管措施決定書《關於對瀋陽藍英工業自動化裝備股份有限公司採取出具警示函措施的決定》(〔2021〕18 號)，警示函內容如下：
“瀋陽藍英工業自動化裝備股份有限公司：
經查，我局發現你公司因與Carl Schenck AG(以下簡稱CSAG)對SBS Ecoclean GmbH 15%股份的交易價格存在爭議，2019年4月18日，CSAG向國際仲裁庭提起仲裁申請，申請金額為2277.28萬歐元及相關利息等。2019年4月29日，你公司收到仲裁通知。2021年8月23日，國際仲裁庭作出最終裁決，你公司應向CSAG支付2046.38萬歐元及相關利息。2021年8月24日，你公司收到裁決文件。你公司未及時就前述仲裁及其進展履行信息披露義務，相關事項直至2019年7月22日的《關於<瀋陽藍英工業自動化裝備股份有限公司可轉債申請文件反饋意見>的回復》以及2021年10月8日的《2021年以簡易程序向特定對象發行股票預案(修訂稿)》中才予以披露。
上述行為違反了《上市公司信息批露管理辦法》(證監會令第40 號)第三十條第一款、第二款第十項和《上市公司信息披露管理辦法》(證監會令第182號)第二十二條第一款，第二款第一項的規定。依據《上市公司信息披露管理辦法》(證監會令第40號)第五十九條和《上市公司信息披露管理辦法》(證監會令第182號)第五十二條的規定，我局決定對你公司採取出具警示函的監管措施。你公司應認真吸取教訓，切實加強對證券法律法規的學習，依法真實、準確、完整、及時、公平地履行信息披露義務，杜絕類似問題再次發生。
如果對本監督管理措施不服，可以在收到本決定書之日起60 日內向中國證券監督管理委員會提出行政複議申請，也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期問，上述監督管理措施不停止執行。”
公司及相關人員收到遼寧證監局的警示函後，高度重視警示函中所指出的問題，深刻反思公司規範運作及信息披露中存在的不足，將切實加強對《證券法》、《上市公司信息披露管理辦法》、《深圳證券交易所創業板股票上市規則》等法律法規、規範性文件的學習，嚴格遵循上市公司信息披露規範要求，強化規範運作意識，依法履行信息披露義務，有效提高公司治理水平，杜絕此類事件的再次發生，維護公司及全體股東利益，促進公司健康、穩定和持續發展。
