富邦股份(300387.SZ)：擬以不高於8750萬元收購湘渝生物70%的股權
格隆匯12月10日丨富邦股份(300387.SZ)公佈，公司於2021年12月10日召開第三屆董事會第二十次會議和第三屆監事會第十九次會議，以全票通過的表決結果審議通過了《關於收購湘渝生物科技(岳陽)有限公司70%股權的議案》，同意公司與湖南湘渝科技有限公司(“湘渝科技”、“交易對方”)及其實際控制人餘松、周愛榮簽訂《股權轉讓協議》，擬以自有資金不高於8750萬元收購交易對方持有的湘渝生物科技(岳陽)有限公司(“湘渝生物”、“標的公司”)70%的股權。
公司擬分四次分別受讓交易對方持有的標的公司 35%、24.5%、7%及 3.5%的股權，在第二次股權轉讓完成後，湘渝生物將成為公司控股子公司，納入公司合併報表範圍。
公吿顯示，湘渝生物是一家專業研製和生產着色劑、有機肥料及微生物肥料製造的民營科技企業，焦糖色國家標準制定單位，是國內少數大型專業生產焦糖色企業之一。該公司主導產品有各型液態焦糖色、固態粉末焦糖色，廣泛應用於現在市場上的各種食品、醫藥、化肥等相關產品的性狀改良，也是公司的主要產品原材料之一，處於公司的行業上游。
標的公司自成立以來一直專注於焦糖色染色劑、有機肥料及微生物肥料製造等產品的研發、生產和銷售，具有堅實的技術基礎、完善的研發體系、穩定的客户資源以及豐富的產品線，具備持續的技術產品創新能力，具有較強的市場知名度和認可度，主要客户包括李錦記、加加食品等國內知名企業，在相關領域處於行業領先的地位。
同時，標的公司為公司上游原材料供應商之一，並與公司建立了較為密切的合作關係。其主要產品及副產物不僅能作為食品的着色劑，也可廣泛應用於醫藥、化肥等相關產品外觀、氣味、熱穩定性、耐酸性、水溶性等性狀的改良，滿足生態環保的需求。標的公司與上市公司將在技術研發、產品創新、客户資源、銷售渠道等方面充分發揮協同效應；能助力公司在生物刺激素、中微量元素與傳統肥料相結合的定製肥料的研發創新；能為公司微生物、海藻萃取物與特種肥料的結合等現代生物技術領域提供技術積累。此次併購完成後，將有利於提升上市公司的整體市場競爭力，有助於實現公司股東利益特別是中小股東的利益最大化。
