*ST索菱(002766.SZ)：管理人與湯和控股簽署重整投資協議書
格隆匯12月9日丨*ST索菱(002766.SZ)公佈，2021年12月8日，索菱股份管理人與湯和控股有限公司(“湯和控股”)簽署《關於深圳市索菱實業股份有限公司的重整投資協議書》。協議主要內容如下：
(一)索菱股份以現有總股本實施資本公積金轉增股本，按每10股轉增10股的比例實施資本公積金轉增股本，共計轉增421,754,014股。轉增後，索菱股份總股本將增至843,508,028股(最終轉增的準確股票數量以中國證券登記結算有限責任公司深圳分公司實際登記確認的數量為準)。
(二)湯和控股與深圳市高新投集團有限公司(“深圳高新投”)共同作為投資人通過索菱股份重整出資人權益調整程序共計有條件受讓資本公積金轉增的1.8億股股票，其餘241,754,014股用於直接抵償索菱股份和索菱股份的全資子公司廣東索菱電子科技有限公司的債務。
(三)投資人向索菱股份提供合計4.41億元人民幣資金，用於支付重整費用、清償部分債務、補充公司流動資金。各投資人受讓轉增股票和支付對價如下：
(四)湯和控股負責索菱股份重整後的生產經營和管理。湯和控股承諾，在湯和控股作為重整後索菱股份主要股東以及索菱股份所在行業相關法律法規、政策、經濟環境均未發生重大不利變化的前提下，通過包括但不限於改善生產經營、注入其他經營資產等各類方式，保證自2022年1月1日至2024年12月31日期間索菱股份實現的年平均淨利潤不低於1.4億元。若因湯和控股原因導致上述承諾未實現的，應當在索菱股份2024年年度報吿披露後三個月內以現金方式補足。
(五)投資人承諾認購的轉增股票自登記至其證券賬户之日起限售36個月。
(六)在2021年12月27日前，投資人將按照重整投資協議的約定將轉增股票認購對價款足額付至索菱股份管理人銀行賬户。
(七)深圳高新投正在履行簽署重整投資協議的內部流程，將另行與管理人簽署協議。湯和控股承諾，深圳高新投不能在2021年12月24日前與管理人簽署協議的，湯和控股負責自行或者協調其他投資人認購剩餘股份。
