麒麟集團控股(08109.HK)擬配售最多4500萬股 總籌990萬港元
格隆匯12月9日丨麒麟集團控股(08109.HK)發佈公吿，2021年12月8日，公司與第一股份認購人訂立第一股份認購協議，據此，公司已有條件同意配發及發行合共2088萬股第一認購股份，認購價每股0.22港元；公司與第二股份認購人訂立第二股份認購協議，據此，公司已有條件同意配發及發行合共673.5萬股第二認購股份，認購價每股0.22港元；公司與第三股份認購人訂立第三股份認購協議，據此，公司已有條件同意配發及發行合共1020萬股第三認購股份，認購價每股0.22港元，合共3781.5萬股認購股份。
2021年12月8日，公司與票據認購人訂立票據認購協議，據此，公司已有條件同意發行而票據認購人有條件同意認購本金總額為1134.87萬港元的票據。票據將按每年2%的票息率計息。票據按初步換股價每股換股股份0.22港元(可予調整)兑換為換股股份。票據的到期日應為票據的發行日期滿第一週年當日。合共5158.5萬股換股股份相當於公司於該公佈日期已發行股本約10.26%。
於該公佈日期，公司欠付第一股份認購人合共459.36萬港元的逾期第一股份債項；第二股份認購人148.17萬港元的逾期第二股份債項；第三股份認購人224.4萬港元的逾期第三股份債項；及票據認購人合共1134.87萬港元的逾期票據債項。第一股份認購價、第二股份認購價、第三股份認購價及票據認購價分別用於按等額基準抵銷第一股份債項、第二股份債項、第三股份債項及票據債項的等值金額。股份認購事項及票據認購事項將不會產生任何所得款項。
2021年12月8日，公司與配售代理訂立配售協議，據此，公司有意委任配售代理按盡力基準單獨及獨家配售及促使認購配售股份。配售代理須促使不少於六名承配人於配售期內按盡力基準認購最多4500萬股配售股份，配售價為每股0.22港元。該最高數目配售股份相當於公司於該公佈日期已發行股本約8.95%。假設配售代理悉數配售最高數目配售股份，則配售事項所得款項總額將為990萬港元，配售事項所得款項淨額估計約為950萬港元。有關所得款項淨額約760萬港元擬用作償還公司債務；及約190萬港元擬用作一般營運資金。
