湖南發展(000722.SZ)：與關聯方擬共同出資1億元設湖南康乃馨養老研究院
格隆匯12月7日丨湖南發展(000722.SZ)公佈，公司與關聯方湖南康乃馨養老產業投資置業有限公司(“康乃馨公司”)於2021年12月7日簽訂了《湖南康乃馨養老研究院項目合作協議》，擬共同出資1億元設立湖南康乃馨養老研究院有限公司(暫定名，“新公司”)。 交易完成後，新公司擬開展老年頤養、養老研究和養老培訓等機構養老業務，與康乃馨公司存在部分業務相同或相似的情形。就該同業競爭事項，公司控股股東湖南發展資產管理集團有限公司(“湖南發展集團”)提出了相應的解決措施。
就該同業競爭事項，公司控股股東湖南發展集團出具了《關於同業競爭解決措施的承諾函》，具體措施如下：
1.將督促康乃馨公司努力提高其資產質量及經營業績，儘快促使康乃馨公司或其養老資產具備轉讓給上市公司的條件。
2.在本次交易完成3年之內且湖南發展集團作為公司控股股東期間，湖南發展集團承諾在法律法規及政策允許的情況下，本着有利於上市公司發展和維護股東利益尤其是中小股東利益的原則，在康乃馨公司或其相關養老資產符合轉讓給上市公司的條件(包括但不限於公司治理結構完善，產權清晰、資產合規完整，能增強上市公司持續盈利能力，符合各方面法律法規和監管規則等)且公司有意收購時，湖南發展集團將以公平合理的市場價格將持有的康乃馨公司股權或促使相關養老資產轉讓給公司；否則湖南發展集團將採取其他適當方式，消除與公司存在的同業競爭。
3.若湖南發展集團及/或湖南發展集團控制的其他企業(不包括上市公司及其控制的企業)在獲得有關與公司具有直接競爭關係的投資、收購機會，相關第三方同意按照合理的條款將該機會提供給公司，同時公司亦有意參與且具備相應的實力及運營能力，則湖南發展集團、公司和第三方應進行善意協商以促使公司實施該等投資、收購機會。
4.在作為公司控股股東期間，湖南發展集團保證依照法律法規以及上市公司章程的規定善意行使權利，不利用控股股東的地位謀取不當利益，不損害公司和其他股東的合法權益。
公司後續將督促湖南發展集團儘快解決同業競爭問題，並嚴格按照相關法律法規的規定和要求及時履行信息披露義務。敬請注意投資風險。
