康恩貝(600572.SH)：就掛牌轉讓珍視明公司42%股權 意向受讓方為由Fortunate Gem等5家公司組成的聯合體
格隆匯12月7日丨康恩貝(600572.SH)公佈，經公司2021年第二次臨時股東大會審議通過，同意公司以控股子公司江西珍視明藥業有限公司(以下簡稱：珍視明公司、標的企業)股東全部權益人民幣40億元作為轉讓底價依據，即公司以不低於人民幣16.8億元的掛牌底價，在浙江產權交易所公開掛牌轉讓珍視明公司42%股權。
2021年10月28日，上述股權在浙江產權交易所正式掛牌，掛牌到期日為2021年11月24日。後根據公司與浙江產權交易所依據相關規則約定，此次股權掛牌轉讓事項順延5個工作日至2021年12月1日結束。截止2021年12月1日，徵集到符合此次交易規定的意向受讓方為由Fortunate Gem Limited、北京華蓋信誠遠航醫療產業投資合夥企業(有限合夥)(以下簡稱：華蓋信誠遠航)、安徽交控金石股權投資基金合夥企業(有限合夥)(以下簡稱：安徽交控金石基金)、海南悦目民晗企業管理合夥企業(有限合夥)(以下簡稱：海南悦目民晗)、廣東眾生藥業股份有限公司(以下簡稱：眾生藥業)共五家公司組成的聯合體，上述各受讓方擬通過浙江產權交易所以公開摘牌方式分別受讓珍視明公司30%、4.75%、4%、2.5%和0.75%的股權，合計受讓珍視明公司42%的股權，成交金額擬合計為人民幣16.8億元。
2021年12月2日，公司對上述受讓方資格予以確認。上述意向受讓方已按規定向浙江產權交易所指定賬户繳納競買保證金。
2021年12月7日，公司與上述五家受讓方簽署了《江西珍視明藥業有限公司42%股權交易合同》、《江西珍視明藥業有限公司42%股權交易合同之補充協議》，該產權交易合同自簽署之日起正式生效。
若此次股權轉讓成功，公司對珍視明公司的持股比例將下降到38%，但仍將保持單一第一大股東地位，公司擬和包括參與此次交易的受讓方在內的其他股東將根據規範治理和發展需要對珍視明公司董事會進行改組，預計改組完成後公司推選委派的董事在珍視明公司董事會席位中佔比少於半數，珍視明公司將不再成為公司控股子公司，也將不再納入公司合併財務報表範圍。根據交易方之間不存在同一控制關係或一致行動人關系及各方就此作出的承諾，交易完成後，珍視明公司將無控股股東。
經公司初步測算，若此次股權轉讓以掛牌底價完成交易，預計將增加公司淨利潤約23億元，對公司業績將產生重大積極影響。
