新疆天業(600075.SH)：擬收購控股股東所持天域新實100%股權
格隆匯12月7日丨新疆天業(600075.SH)公佈，公司擬收購控股股東新疆天業(集團)有限公司(“天業集團”)所持有的石河子天域新實化工有限公司(“天域新實”)100%股權。
此次股權轉讓交易定價遵循公平、合理、公允的原則，雙方確定以2021年6月30日為審計、評估基準日，定價以天域新實2021年6月30日止經審計的財務報吿為基礎，以具有證券從業資格的同致信德(北京)資產評估有限公司出具並已備案的同致信德評報字(2021)第030056號《新疆天業股份有限公司擬收購股權涉及的石河子天域新實化工有限公司的股東全部權益價值資產評估報吿》評估結果39308.91萬元為計算依據，扣除天域新實9913.59萬元分紅款，確定天域新實100%股權轉讓交易對價為29395.31萬元。
公吿顯示，天域新實為天業集團全資子公司，擁有24萬噸/年聚氯乙烯、18萬噸/年燒鹼產能，成立於2007年4月29日，位於新疆石河子市北十五路2號，註冊資本12000萬元，主要經營：燒鹼、聚氯乙烯、高沸物、鹽酸、次氯酸納、液氯(5000噸/年)、食品添加劑的生產與銷售。消毒液、塑料製品、編織袋、繩的生產與銷售。貨物或技術進出口(國家禁止或涉及行政審批的貨物和技術進出口除外)、開展邊境小額貿易業務；道路普通貨物運輸；非金屬廢料和碎屑加工處理、金屬廢料和碎屑加工處理(危險化學品及易燃易爆品除外)。
此次收購完成後，公司將新增24萬噸/年聚氯乙烯樹脂、18萬噸/年燒鹼產能，有助於充分匹配公司全資子公司熱電、電石富餘產能，實現循環產業鏈完整協同發展,進一步優化公司的產業鏈、業務結構，逐步落實天業集團履行解決同業競爭的承諾，減少公司與天業集團及其所屬子公司的關聯交易，促進公司在資本市場健康發展，增強公司持續經營能力和發展潛力。
