山東黃金(600547.SH)披露辦理相關礦權整合事項
格隆匯12月3日丨山東黃金(600547.SH)公佈，2021年7月26日山東省人民政府發佈《山東省人民政府關於煙台市8個區(市)金礦礦產資源整合方案的批覆》(魯政字〔2021〕133號)，同意煙台市人民政府呈送的《關於呈批煙台市8個區(市)金礦礦產資源整合方案的請示》(煙政呈〔2021〕7號)中關於煙台市金礦礦產資源整合方案。該《批覆》中明確：“堅持‘一個主體’原則，推動一個整合區域內保留一個採礦權人、一個採礦權之內保留一個生產經營主體，堅決杜絕物理整合、虛假整合，保障各方合法權益，維護社會穩定。”
現公司就落實上述山東省、煙台市各級政府關於金礦礦產資源整合方案的有關情況公吿如下：
公司控股股東山東黃金集團有限公司(“山東黃金集團”)部分位於萊州區域的金礦礦權、以及山東黃金集團以外的部分礦權，與公司現有萊州地區的礦權屬於同一成礦帶，須按《批覆》及煙台市、萊州市金礦礦產資源整合方案要求以公司為整合主體進行整合。其中包括萊州魯地礦業投資開發有限公司(山東黃金集團全資子公司)所屬的“萊州魯地礦業投資開發有限公司金城金礦”採礦權，萊州金輝礦業有限公司(非山東黃金集團所屬企業)所屬的“萊州金輝礦業有限公司後趙金礦”採礦權(以上兩個礦權合稱為“標的礦權”)。
按照以上礦權整合要求，為確保按期完成整合工作，公司與上述標的礦權的礦權人積極對接。截至目前，標的礦權整合過户工作進入了在山東省自然資源廳官方網站公示階段，公示期後礦權將變更至公司控股子公司山東黃金礦業(萊州)有限公司(“山東黃金萊州公司”)名下。鑑於上述標的礦權目前尚未滿足上市公司收購所需的條件，此次過户公示為整合過程中的一個必備環節，不屬於資產交易或贈與，整合過户的公示價格不作為交易價格，對雙方不具有約束力。目前標的礦權的整合過户僅屬於資源整合過渡時期的資產代持行為，公示過户後山東黃金萊州公司僅為名義持有人。待標的礦權及礦權相關資產完全滿足注入上市公司的條件後，公司及山東黃金萊州公司將與標的礦權的實際礦權人另行履行礦權收購的資產評估、交易價格確定、審議決策、協議簽署、信息披露等各項程序。
據瞭解，山東省、煙台市各級政府關於金礦礦產資源的整合工作仍在推進過程中，公司將按要求積極開展與此相關的各項工作，並根據具體工作進展情況及時履行信息披露義務。
