雲海金屬(002182.SZ)：擬對寶瑪克(合肥)增資8000萬元
格隆匯12月2日丨雲海金屬(002182.SZ)公佈，2021年12月2日，公司第六屆董事會第四次會議審議通過了《關於參與寶瑪克(合肥)科技有限公司混合所有制改革的議案》。
同意公司根據中審眾環會計師事務所(特殊普通合夥)上海分所出具的《寶瑪克(合肥)科技有限公司審計報吿》(中審眾環滬專字[2021]00703 號)對寶瑪克(合肥)科技有限公司(“寶瑪克(合肥)”)增資人民幣8000萬元，此次增資完成後，寶瑪克(合肥)的註冊資本59607.84萬元(暫定，最終以摘牌數據為準)，公司持有寶瑪克(合肥)13.42%的股權(暫定，最終以摘牌數據為準)。同意公司與寶瑪克(合肥)簽署《投資意向書》，授權公司經營班子全權處理相關事宜。
寶瑪克(合肥)着眼鋼、鋁等材料輕量化系統解決方案，聚焦發展鋼、鋁相結合的系列化輕量化部件產品，有以下優勢：
1、品牌認知度高：母公司是中國寶武旗艦子公司，也是新材料板塊主力軍，輕量化是中國寶武重要的目標市場，輕量化部件業務是中國寶武從製造到服務轉型發展的重要內容，通過構建輕量化生態，為客户提供輕量化解決方案，成為輕量化需求的引領者。
2、技術壁壘高：設立全球研發中心，擁有從車身結構設計、材料選擇、工藝設計、樣件試製到量產的輕量化綜合解決方案能力，具備與主流客户同步設計開發能力。
3、先發優勢顯著：擁有BAOMARC品牌，已進入國內輕量化細分市場，在設計、產品、質量、服務等方面業績突出，行業影響力強，客户認可度高，已建立先發優勢。
4、客户粘度高：寶武生態圈有豐富的汽車戰略客户羣，為輕量化部件市場開發提供重要支撐，從汽車用鋼解決方案到多材料解決方案均有覆蓋，而且輕量化業務也形成了一系列高品質客户，有不錯的供貨業績，是值得客户信賴的供應商。
5、整合優勢明顯：混改平台可以整合寶武生態圈產業優勢、應用技術優勢、營銷渠道優勢、與知名科研院所戰略合作優勢、產業整合與策劃等優勢，便於業務獲取並具備快速發展所需關鍵資源要素，建立快速發展的基礎。
公司參與混改，寶瑪克公司經營產品為公司深加工產品的下游，不形成同業競爭，並加強公司在汽車輕量化領域的進一步拓展。因寶瑪克(合肥)剛進行混改，目前的經營對公司的財務數據暫時還不會造成重大影響。但隨着混改和項目的推進，在輕量化市場的發展前景較好。
