信保環球控股(00723.HK)擬228.6萬歐元收購一家羅馬尼亞公司全部股份及股東貸款
格隆匯12月2日丨信保環球控股(00723.HK)公吿，於2021年12月2日，買方沃林環球有限公司(公司間接持有51%及永興海外基金有限公司間接持有49%)與賣方J.W. CAPPELEN GESELLSCHAFT M.B.H訂立該協議，據此，買方有條件地同意收購及賣方有條件地同意出售銷售股份(相當於目標公司JWC ROMWOOD S.R.L.全部已發行股本)及股東貸款，代價為228.6萬歐元(可予下調)。
為配合集團木材供應鏈業務拓展計劃，集團已分別於2019年11月及2021年1月在羅馬尼亞及克羅地亞開始其板材加工項目。集團於羅馬尼亞的奧伊圖茲及克羅地亞的拉夫納戈拉設立及經營板材加工項目的業務策略已取得成績，乃由於銷售加工板材利潤相對高於銷售未加工木材原木，而由於加工板材可按不同規格進行加工以符合不同客户特定需求，因此深受集團客户歡迎。
為提升集團於木材供應鏈業務競爭力，集團一直積極尋求投資機會以收購及╱或設立板材加工項目，以擴展其於歐洲木材供應鏈業務。
目標公司於羅馬尼亞的科瓦斯納擁有一家已全面營運板材加工廠，該工廠配備齊全的板材加工設施。收購事項為本集團提供良機以應用其於羅馬尼亞的奧伊圖茲及克羅地亞的拉夫納戈拉板材加工項目所採用相同成功業務模式，並進一步發揮本集團於歐洲廣泛業務網絡以及採購團隊及營銷團隊豐富行業知識。收購事項預期將加速本集團木材供應鏈業務於歐洲戰略發展計劃。
集團預期，藉着集團於歐洲廣泛業務網絡以及採購團隊及營銷團隊豐富行業知識，目標公司板材加工廠於日後將透過產能使用率增加得以轉虧為盈。
考慮到代價較經調整資產淨值折讓約5.5%，且目標公司板材加工廠配備齊全板材加工設施並已全面投入營運，董事認為收購事項按正常商業條款進行，屬公平合理，並符合本公司及股東整體利益。
