中國水業集團(01129.HK)附屬擬收購三家公司以鞏固新能源及再生能源業務 成立基金福州清禹新能
格隆匯12月2日丨中國水業集團(01129.HK)發佈公吿，於2021年12月2日，公司間接非全資附屬公司深圳新中水（作為買方）與北控十方（作為賣方）及撫順十方（作為目標公司）訂立撫順股權轉讓協議，據此，北控十方已同意出售，以及深圳新中水已同意購買撫順待售股本，相當於撫順十方全部股權，代價總額為人民幣311萬元。
同日，深圳新中水（作為買方）與北控十方（作為賣方）及鄭州新冠（作為目標公司）訂立鄭州股權轉讓協議，據此，北控十方已同意出售，以及深圳新中水已同意購買鄭州待售股本，相當於鄭州新冠全部股權，代價總額為人民幣2234萬元。
同日，深圳新中水（作為買方）與北控十方及廈門通潔（作為賣方）及廈門十方（作為目標公司）訂立廈門股權轉讓協議，據此，深圳新中水已同意購買，以及(i)北控十方已同意出售廈門待售股本A，相當於廈門十方的55%股權；及(ii)廈門通潔已同意出售廈門待售股本B，相當於廈門十方的45%股權，代價總額為人民幣1500萬元。
於本公吿日期，(i)撫順十方及鄭州新冠由北控十方全資擁有，及(ii)廈門十方由北控十方及廈門通潔分別擁有55%及45%股權。於收購事項完成後，各目標公司將成為公司的間接非全資附屬公司，因此，各目標公司的財務資料將併入集團的財務報表。
撫順十方為一間於中國成立的有限公司及主要從事生物質天然氣的試點生產及銷售以及相關設備的製造。鄭州新冠為一間於中國成立的有限公司及主要從事可再生能源（包括風能、太陽能及生物能源）的技術開發、技術諮詢及技術轉讓；環保設備批發及零售；以及利用沼氣填埋場氣體發電等業務。
廈門十方為一間於中國成立的有限公司及主要從事管道燃氣經營；瓶裝燃氣經營；廢料發電；其他未列明的電力生產；電力供應；熱力生產及供應；固體廢物治理；其他未列明的污染治理等。
公司表示，為進一步提升其於新能源及再生能源業務方面之投資組合，集團一直在尋求投資機會以進一步投資於該業務分部。董事會認為，收購事項乃集團進一步鞏固其於中國新能源及再生能源行業的市場地位的寶貴商機。
同日，普通合夥人、北清環能集團及公司就於中國成立基金福州清禹新能股權投資合夥企業（有限合夥)訂立合夥協議。基金注資總額為人民幣1億元。普通合夥人、北清環能集團及公司將分別注資人民幣100,000元、人民幣5000萬元及人民幣5000萬元。基金以內部資源從事投資活動及投資優質公司的風險投資（限於投資非上市公司），以獲得較高回報。
