如意集團(002193.SZ)：擬獲置入佛山萊卡部分股權、以部分應收賬款、存貨置換
格隆匯12月1日丨如意集團(002193.SZ)公佈，為改善公司資產結構，提高持續盈利能力，公司及全資子公司濟寧如意新材料技術有限公司(“如意新材料”)擬將部分應收賬款、存貨作為置出資產，與公司關聯方濟寧如意萬眾創業投資管理合夥企業(有限合夥)(“萬眾創業”)持有萊卡新材料(佛山)有限公司(“佛山萊卡”)部分股權進行資產置換。
此次擬置入資產為萬眾創業持有佛山萊卡價值98396.58萬元的股權。佛山萊卡於2021年8月3日在廣東省佛山市設立，法定代表人為邱晨冉女士。初始註冊資本50000萬元，創萊纖維持有65%股權，萬眾創業持有35%股權。主營業務為新材料技術推廣服務，合成纖維製造，生物基材料製造，合成材料製造。原股東以土地、廠房、設備等用於生產經營的固定資產、無形資產及相關業務對佛山萊卡進行增資。增資完成後，佛山萊卡每年可實現淨利潤約3億元。
萬眾創業是公司實際控制人及一致行動人控制的企業，根據《深圳證券交易所股票上市規則》的相關規定，此次交易構成關聯交易。
此次置出資產中的應收賬款主要為應收關聯方賬款，因應收賬款問題，公司2019、2020 年度被審計機構出具了非標準無保留意見審計報吿，影響了公司資本市場形象；此次資產置換可以解決應收賬款遺留問題並消除保留意見，為公司帶來正面影響，促進公司健康發展。
此次置出資產中的存貨資產是公司為避免原材料價格波動而儲備的原毛、毛條、紗線等貨物，隨着公司產品檔次的提高以及市場情況變化，該存貨已不適應公司實際生產經營需要，此次置換可解決該存貨造成的資金佔壓問題。
此次置入資產能夠促進公司快速進入高端纖維新材料行業，拓寬公司運營範圍，實現轉型升級，促進公司可持續發展。
綜上，此次資產置換能夠改善公司資產結構，解決應收賬款遺留問題，消除保留意見，進入高端纖維材料行業，增強公司持續盈利能力。
