巨輪智能(002031.SZ)：就掛牌轉讓天津訊盈100%股權 第三輪內徵集到一個意向受讓方睿翔科技
格隆匯12月1日丨巨輪智能(002031.SZ)公佈，就公開掛牌方式轉讓全資子公司巨輪(天津)投資控股有限公司(現已更名為“天津訊盈數字科技有限公司”，“天津訊盈”)100%股權，在三輪公開掛牌期間，前兩輪均未徵集到意向受讓方，在第三輪公開掛牌期內徵集到廣東睿翔科技有限公司(“睿翔科技”、“受讓方”)一個意向受讓方，擬受讓價格為掛牌底價5.52億元，公司擬與受讓方簽訂《股權轉讓協議》。此次交易完成後，公司不再持有天津訊盈股權，天津訊盈不再納入公司合併報表範圍。
在天津訊盈為公司全資子公司期間，為支持其業務發展，公司向其控股子公司和信(天津)國際商業保理有限公司(“和信保理”)提供經營借款。根據公司2021年第一次臨時股東大會審議通過的《關於公開掛牌轉讓全資子公司100%股權的議案》，為保障天津訊盈下屬控股子公司業務經營，公司預計在此次股權轉讓完成前向巨輪天津下屬控股子公司繼續提供財務資助，財務資助餘額不超過2021年6月底餘額12.41億元，財務資助的年化利率為 6.5%；對於公司向和信保理提供的財務資助，公司股東大會授權董事會根據市場情況及交易具體情況，與交易對手協商確定上述財務資助的還款計劃及相關擔保方案，但上述財務資助還款期限自交易協議簽署之日起不得超過三年。由於天津訊盈在股權轉讓辦理完成後，不再是公司全資子公司，公司對和信保理的借款12.41億元被動形成了對外財務資助。
此次交易是公司綜合研判當前宏觀政策導向和未來經濟發展走向所做出的，目的是促進公司進一步聚焦主業，優化產業結構，發展先進製造業，夯實公司在主營業務領域的優勢，推動公司邁向更高水平的高質量發展，符合公司未來戰略發展需要。此次交易完成後，公司將不再持有標的公司的股權，標的公司將不再納入公司合併報表範圍。
經公司財務部門根據最近一期財務數據初步測算，截止2021年9月30日，天津訊盈歸屬於母公司股東的淨資產為 90251.68萬元，公司以5.52億元為對價出售天津訊盈100%股權，預計確認投資收益-35051.68萬元，因此，此次交易對公司淨利潤影響為-35051.68萬元(按公司最近一期財務數據測算)。公司將根據《企業會計準則》及相關規定對本次交易進行賬務處理，最終數據以公司經審計的年度財務報吿數據為準。
