五菱汽車(00305.HK)及廣西汽車就建議資產重組及向五菱新能源出資訂立意向書
格隆匯12月1日丨五菱汽車(00305.HK)公吿，2021年12月1日，廣西汽車、公司、五菱工業及五菱新能源就建議資產重組及向五菱新能源出資訂立意向書。廣西汽車擬以其全資附屬公司五菱新能源為平台，整合重組新能源汽車相關資產及業務，該等業務目前主要由五菱工業承辦。
公司擬通過投資五菱新能源，在現有商用整車主營業務的基礎上，打造新能源汽車業務板塊，全面開拓和發展新能源汽車業務。據此，廣西汽車、公司、五菱工業及五菱新能源已訂立意向書。
根據意向書，廣西汽車、公司及五菱工業同意將五菱新能源轉為外商投資企業，從事新能源汽車業務。五菱新能源轉為外商投資企業後，五菱新能源將在中國從事新能源汽車的研發、製造及銷售。
根據適用法律法規和上市規則的要求，以及與相關方將簽訂的最終協議，五菱新能源計劃整合新能源汽車研發、製造和銷售所需的資產，並將專注於開發打造高性價比純電動及插電混合動力新能源車，以及其他新能源智能出行產品。此外，五菱新能源投產後，預計五菱工業及其附屬公司將成為五菱新能源的主要戰略供應商，為五菱新能源生產的新能源汽車提供汽車零部件及組件。
根據意向書，合資方將作出如下出資：(1)廣西汽車將以非現金資產（包括土地使用權、廠房設施、在建工程、固定資產、無形資產等）及╱或現金出資約人民幣16億元；(2)公司將出資現金約人民幣10億元；(3)五菱工業將以非現金資產出資約人民幣3.06億元。此外，將設立員工股份持股平台，按不超過五菱新能源的總股本4%的出資實施員工股份計劃。
公司表示，藉助國家環保新能源政策的支持，新能源汽車繼續受到市場的關注及青睞。集團一直依照國家政策、業內新趨勢投放資源，發展環保運輸。為了捕捉業務潛力並保持我們的市場競爭力，持續開發和推出新車型，具備有效的產能擴張計劃以實現規模生產的目標對集團至關重要。
根據意向書，廣西汽車將向五菱新能源注入約人民幣16億元的非現金資產及╱或現金，其中非現金資產將包括土地使用權及生產廠房設施，當中主要包括位於柳州市柳東區的新生產基地。該生產基地佔地約550,000平方米，計劃採用中國汽車行業先進的技術建設，並安裝先進的自動化生產線，以進行生產新能源汽車所需的焊接、噴漆以及總裝等生產程序。為應對十四五規劃帶來的巨大商機和技術突破，該生產基地以對標自動化、柔性化、節能化、智能化的行業先進水平為目標，從而使公司新能源汽車生產更為環保和智能化。
與廣西汽車和五菱工業簽訂意向書，將有助於集團打造具有獨特平台和特定業務戰略的新能源汽車業務板塊，從而有利於集團新能源汽車業務的長遠發展。
