電子城(600658.SH)：擬註冊發行中期票據及超短期融資券
格隆匯11月29日丨電子城(600658.SH)公佈，公司第十一屆董事會第四十二次會議決議，審議通過《公司擬註冊發行中期票據及超短期融資券的議案》。
公司根據“十四五”發展戰略安排各項經營活動，為全面推動科技服務發展戰略的實施落地，提升科技服務的規模、質量和效率，保證公司各重點項目建設資金需求，擬通過註冊發行中期票據及超短期融資券的方式籌集產業發展資金，保障戰略目標落地實施。
此次擬向中國銀行間市場交易商協會提交不超過20億元(含20億元)人民幣中期票據的註冊申請，由承銷機構以餘額包銷方式在全國銀行間債券市場公開發行，發行的對象為中國銀行間債券市場機構投資者。在中國銀行間市場交易商協會註冊有效期內分期發行，每期發行期限不超過5年(含5年)，籌集資金擬用於項目建設、置換現有債務等，具體發行規模、發行期限、資金用途將根據公司資金需求確定。債券發行利率將根據各期發行時銀行間債券市場的市場狀況確定，單利計息，每年付息一次，到期一次還本。
此次擬向中國銀行間市場交易商協會提交不超過20億元(含20億元)人民幣超短期融資券的註冊申請，由承銷機構以餘額包銷方式在全國銀行間債券市場公開發行，發行的對象為中國銀行間債券市場機構投資者。在中國銀行間市場交易商協會註冊有效期內分期發行，每期發行期限不超過270天(含270天)，籌集資金擬用於補充流動資金、置換現有債務等，具體發行規模、發行期限、資金用途將根據公司資金需求確定。債券發行利率將根據各期發行時銀行間債券市場的市場狀況確定，單利計息，到期一次還本付息。
董事會同意公司上述擬發行中期票據及超短期融資券的方案，並授權公司管理層辦理與發行有關的相關事宜，包括但不限於如下事項： 1、確定發行的具體金額、期限、利率、發行期數及發行時機等具體發行事宜； 2、負責簽署申報與發行有關的相關協議和法律文件，並辦理超短期融資券的相關申報、註冊手續；3、如監管政策或市場條件發生變化，可依據監管部門的意見對發行的具體方案等相關事項進行相應調整； 4、辦理與本次中期票據及超短期融資券發行相關的其他事宜。
該議案尚需提交公司2021年第四次臨時股東大會審議，公司第四次臨時股東大會日期為2021年12月15日。
