華鐵應急(603300.SH)：因信息披露不準確等問題收到浙江證監局警示函
格隆匯11月26日丨華鐵應急(603300.SH)公佈，公司於近日收到中國證券監督管理委員會浙江監管局行政監管措施決定書《關於對浙江華鐵應急設備科技股份有限公司及胡丹鋒、張守鑫、郭海濱、張偉麗採取出具警示函措施的決定》(〔2021〕112號)，現將內容公吿如下：
“浙江華鐵應急設備科技股份有限公司、胡丹鋒、張守鑫、郭海濱、張偉麗：
我局在現場檢查中發現浙江華鐵應急設備科技股份有限公司存在以下問題：
一、信息披露不準確、不及時
2021年5月，公司轉讓子公司浙江華鐵建築支護技術有限公司(華鐵支護)。公司原高管周偉紅聯合他人以浙江屹聖建設工程有限公司名義受讓華鐵支護，併為該筆交易協調資金並提供擔保。上述交易發生時周偉紅離任公司高管未滿12個月，該筆交易構成關聯交易，但公司披露為非關聯交易，且未履行相關審議程序，信息披露不準確。
公司於2017年8月中標安陽城鄉一體化項目。2018年3月，公司公吿稱決定不再參與該項目，並要求安陽市政城鄉一體化示範區建設投資有限公司返還已繳納的項目保證金以及其他費用。經核實，雙方於2018年6月簽署還款協議，且對方並未按照協議時間按期還款。公司未就該協議及後續事項發佈進展公吿，信息披露不及時。
二、應收賬款壞賬準備計提不充分
2020年末，公司控股子公司浙江恆鋁科技發展有限公司(以下簡稱浙江恆鋁)應收東旭建設集團有限公司(東旭建設)賬款為469.7萬元。根據浙江恆鋁和東旭建設簽訂的合同收款政策，2020年末東旭建設1-2年賬齡部分應收賬款204萬元均已逾期，公司計提信用減值損失未充分反映實際信用損失情況，不符合《企業會計準則》規定。
三、公司內部控制不規範
公司實際控制人、董事長兼總經理胡丹鋒親屬在內的多名外部人員實際參與公司經營管理，在公司及子公司從事財務、人事等工作，但未與公司建立勞動合同關係，公司內部管理不規範。
上述行為違反了《上市公司信息披露管理辦法》(證監會令第40號)第二條、第三條、第三十二條，《上市公司信息披露管理辦法》(證監會令第182號)第三條、第四條、第四十一條，《上市公司治理準則》第六十八條的規定。
公司現任董事長兼總經理胡丹鋒、現任財務總監張偉麗、現任董祕郭海濱對前述違規行為負有主要責任，時任董祕張守鑫對安陽城鄉一體化項目進展未及時披露、內部控制不規範事項負有主要責任。
根據《上市公司信息披露管理辦法》(證監會令第40號)第五十八條、第五十九條，《上市公司信息披露管理辦法》(證監會令第182號)第五十一條、第五十二條的規定，我局決定對你們分別採取出具警示函的監督管理措施，並記入證券期貨市場誠信檔案。
你們應認真吸取教訓，加強證券法律法規學習，建立健全並嚴格執行財務和會計管理制度，提高公司規範運作水平和信息披露質量，並於收到本決定書之日起10個工作日內向我局提交書面整改報吿，杜絕今後再次發生此類違規行為。
如果對本監督管理措施不服的，可在收到本決定書之日起60日內向中國證券監督管理委員會提出行政複議申請，也可在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行”。
