恆生電子(600570.SH)：雲贏網絡以6500萬美元收購Finastra公司的Summit業務
格隆匯11月26日丨恆生電子(600570.SH)公佈，公司控股子公司杭州雲贏網絡科技有限公司(“雲贏網絡”)為補充資金管理系統產品線，增強在複雜衍生品、結構性產品方面的軟件產品覆蓋，增強為大中型銀行金融市場部分客户羣體提供完整解決方案的能力，與Finastra公司簽署交易協議，以6500萬美元(約合人民幣42155.1萬元)收購Finastra公司的Summit業務(指Summit在中國內地及港澳地區的業務)。
Summit 是針對大中型銀行的資金管理系統解決方案，涵蓋金融機構資金業務的主要交易場景，包括貨幣市場、資本市場、外匯交易和衍生品市場等。此次交易對公司日常經營以及當年度的財務狀況和經營成果不會產生重大影響。
此次雲贏網絡購買的Summit 業務，主要包含以下內容：Summit 在中國內地及港澳地區的獨家經營權以及Summit 產品的源代碼、文檔、商標的永久使用權、永久免費的源代碼更新服務。Finastra 在中國內地及港澳地區現存Summit 客户及合同由雲贏網絡承繼。雲贏網絡有權在Summit 產品源代碼基礎上進行本地化開發，形成更適合中國客户的新產品。
Summit 產品介紹：Summit 是全球領先的資金管理系統，涵蓋金融機構資金業務的主要交易場景，包括貨幣市場、資本市場、外匯交易和衍生品市場等，覆蓋前中後台，用於持倉、交易處理和風險管理等業務。Summit 擁有多種先進定價模型，包括Black-Scholes、BGM、Hull-White、本地波動率模型 (Dupire) 和隨機波動率模型 (Heston)、Gaussian Copula、Jarrow Turnbull 模型；在業務處理流程上，可靈活定製審批流，並在流程中能嵌入業務風險限額和市場風險檢查，真正達到業務直通式處理；在系統靈活性上，具有豐富的開發包和API，並且有底層數據庫模型，能方便進行二次開發。相比同類產品，Summit 具有連續交付模式、跨資產和前中後台以及雲化技術路線等優勢。
Summit目前的客户和合同情況：截至2021年9月末，Summit在中國內地及港澳地區已有的客户以國有銀行、股份制銀行、大型城商行為主，共計17家銀行客户，已有的合同均為長期合同。
