煉石航空(000697.SZ)：擬放棄中科航發股權的優先購買權
格隆匯11月25日丨煉石航空(000697.SZ)公佈，公司參股公司成都中科航空發動機有限公司(“中科航發”)的股東中國科學院工程熱物理研究所(“工熱所”，持有中科航發股權24.9505%)、共青城輕擎投資管理合夥企業(有限合夥)(“輕擎投資”，持有中科航發股權10.6931%)擬將其各自持有中科航發全部股權轉讓給成都雙城投資有限公司(“雙城投資”，持有中科航發股權21.4519%)。經公司第九屆董事會第二十七次會議審議，同意公司放棄上述股權的優先購買權。
公司持有中科航發股權21.4523%，上述股權轉讓後，公司持有中科航發的股權比例不變。本次交易事項不構成關聯交易。
2014年9月15日，公司與工熱所、成都清誠企業管理諮詢中心、雙城投資合作，成立中科航發，主要從事 750 公斤推力渦扇發動機的研製、生產及銷售。合作期間，公司、成都清誠企業管理諮詢中心和雙城投資等股東對中科航發完成部分現金出資，工熱所也完成了750 公斤推力渦扇發動機結構設計及系統集成技術（以下簡稱“750渦扇技術”）的資產評估和財政部備案手續，並按照中科院科技成果轉化獎勵政策，將工熱所股權的30%獎勵給研發團隊，即輕擎投資。在各方通力協作下，目前，該750 公斤推力渦扇發動機已經完成整機優化設計、整機地面試驗、持久試驗、環境試驗和高空台試驗等，達到設計指標，滿足試飛條件。
因工熱所和輕擎投資擬注入中科航發的750渦扇技術為涉密知識產權，在辦理知識產權入股的過程中，受現行相關制度的約束，至今仍不具備註入中科航發條件，影響了中科航發的後繼發展。經中科航發各股東協商，擬將中科航發與工熱所的股權合作加技術合作模式調整為長期技術合作模式，工熱所支持中科航發繼續進行中小型航空發動機的研發、生產。
隨着無人機需求的迅速擴大，該產業未來有着廣闊的市場，公司依然看好中科航發的後續發展，繼續維持現有股權。但基於公司目前的財務狀況及經營規劃等，擬放棄此次轉讓的優先購買權。
放棄優先購買權後，中科航發的業務範圍仍然保持不變，不影響公司對中科航發的持股比例和權益，未改變公司作為中科航發參股股東的地位，不會導致公司財務報表合併範圍發生變化，不會對公司經營管理、財務狀況、經營成果產生重大影響，不存在損害公司及股東特別是中小股東利益的情形。
