遠東發展(00035.HK)擬成立合營企業收購啟德物業

格隆匯11月25日丨遠東發展(00035.HK)發佈公吿,2021年11月24日,合營公司(作為買方)、賣方(即彥佑有限公司)、買方擔保人與賣方擔保人已訂立購股協議。根據購股協議,賣方將出售待售股份及促使待售貸款轉讓,而合營公司將(i)收購所有待售股份,代價為港幣79.48億元減去截至完成時於2020年融資協議項下的未償還本金總額港幣30.52億元及減去待售貸款代價及(ii)以代價港幣12.32億元接受待售貸款轉讓。完成後,目標公司將由合營公司全資擁有。

合營公司(即River Riches Limited)由公司(透過FECL)與新世界發展(透過Modern Culture)根據日期為2021年11月24日的協議備忘錄成立,以進行收購事項。目標公司(即迅富國際有限公司)為一間在香港註冊成立的有限公司,主要從事投資控股,為該物業的法定及實益擁有人,該物業正在開發中。該物業的地盤面積約為0.97萬平方米,被指定為私人住宅用途。最低建築面積及最高建築面積分別為3.2萬平方米及5.34萬平方米。

公吿稱,該物業位於香港新發展地區啟德的黃金地段。該物業將可補充集團於香港的土地儲備。集團擬透過企業合營將該物業發展為住宅項目。為收購事項成立合營企業將為集團提供機會,以於啟德區黃金地段的住宅項目開發中佔有一席的地,該區正在轉型變化,將發展成為蓬勃的商業區。合營企業不僅使集團能夠繼續豐富其物業發展組合,以及增加住宅發展擬建項目,亦作為集團能與香港其他知名開發商合作的平台。
