君百延集團(08372.HK)擬認購Techmetics 0.95%股份及成立合營企業
格隆匯11月24日丨君百延集團(08372.HK)公佈，於2021年11月24日，投資者向日國際有限公司（為公司的間接全資附屬公司）、創辦人與Techmetics訂立投資協議，據此，投資者有條件同意認購，而Techmetics有條件同意向公司配發及發行認購股份，相當於Techmetics經配發擴大已發行股本總額的0.95%，總認購價為250,000美元。
Techmetics為於新加坡註冊成立的有限公司，主要從事(i)製造及維修服務機器人；及(ii)工程設計及諮詢業務。
於2021年11月24日，投資者（公司的間接全資附屬公司）、公司主席、公司行政總裁兼公司控股股東黃碧君女士、Techmetics及合營公司Sonne Techmetics Limited就成立合營公司內的合營企業訂立合營協議。
根據合營協議，投資者、黃女士、Techmetics及合營公司同意成立合營公司內的合營企業，合營公司將主要從事(i)於相關司法權區為醫療保健行業提供自主移動機器人解決方案；(ii)物色原設備生產商；及(iii)研發工作。合營公司的初始註冊股本將為500,000美元，將由投資者、黃女士及Techmetics分別以現金出資20%、40%及40%。
公司表示，鑑於(i)集團在香港醫療儀器市場的豐富經驗及作為其中一名香港主要醫療儀器分銷商的地位；(ii)Techmetics在自主移動機器人解決方案行業的豐富經驗；及(iii)自主移動機器人於醫療保健行業的用途迅速發展，集團與Techmetics認為，認購事項及成立合營公司內的合營企業對雙方而言，均是在自主移動機器人業務發展中進一步資本化的良機。
此外，根據投資協議，Techmetics將認購事項所得款項的200,000美元投資於合營公司，該筆金額相當於認購價的80%。董事會認為，認購事項及與Techmetics合作成立於合營公司內的合營企業將促進及實現集團於醫療保健行業開發及建立自主移動機器人解決方案的未來業務發展，且多元化發展集團業務，符合集團的整體利益。
