周大福(01929.HK)投資於New Cutting Edge提升鑽石標記及評級方面競爭力
格隆匯11月23日丨周大福(01929.HK)公吿，於2021年11月23日，買方(公司間接全資附屬偉略有限公司)、賣方New Flow Group Limited及目標公司New Cutting Edge Limited 訂立銷售及貸款資本化協議，當中包括賣方同意出售而買方同意購買銷售股份，按由買方及賣方經參考賣方向目標公司的股本注資1億港元后公平磋商釐定的購買價進行。購買價將於交易交割時由買方以現金全數支付予賣方。
根據銷售及貸款資本化協議，賣方及目標公司同意，於股東貸款重組完成後目標公司結欠賣方的股東貸款7.4億港元將資本化為將由目標公司發行予賣方的740股優先股，發行價為每股優先股100萬港元。
目標公司的創辦人股東為賣方及TWH。賣方以權益1億港元及提供股東貸款(於股東貸款重組完成後將為7.4億港元)的形式向目標公司注入貨幣資金。TWH組織納米技術、人工智能及區塊鏈技術方面的科學家及專家團隊，作為對目標公司的實物貢獻。於本公吿日期，TWH團隊有10名成員以不同身分擔任目標公司僱員。
目標集團於2011年創立並以香港科學園為總部，主要從事開發及提供適用於(其中包括)鑽石及珠寶市場的深科技及解決方案，透過包括但不限於納米產品製作技術、材料分析技術、生產自動化、零售自動化及數據分析，以及先進技術，為不同形狀及大小的鑽石創造和最大化其價值。
憑藉在材料分析、納米產品製作及精確工藝上的專業技能，目標集團在鑽石納米標記技術及應用方面取得了優勢。為每顆寶石刻印獨特印記的能力使終端客户可追蹤每顆所售出的鑽石從來源到生產(切割及打磨)，到認證以至零售點的歷程，藉此加強客户信心並透過第三方認證加強保障。
在交易交割後的健全管理及治理框架下，目標集團將獲賦能在研發工作上再創成就，推動行業可持續發展及加速其珠寶相關服務商業化。集團將因而受惠於與目標集團更緊密的合作關係，透過採納更多先進及創新技術提升鑽石標記及評級方面的競爭力。有關技術將補充集團現有產品，優化集團的產品組合並推廣更高附價值產品，從而滿足本集團高端珠寶客户的消費需求。
