中集集團(000039.SZ)：中集租賃擬引入深圳資本集團、深圳能源集團及天津凱瑞康作為戰略投資者
格隆匯11月23日丨中集集團(000039.SZ)公佈，集團全資控股子公司中集融資租賃有限公司(“中集租賃”)擬引入深圳市資本運營集團有限公司(“深圳資本集團”)、深圳市能源集團有限公司(“深圳能源集團”)及天津凱瑞康企業管理諮詢合夥企業(有限合夥)(“天津凱瑞康”)作為戰略投資者。
2021年11月23日，公司與深圳資本集團、深圳能源集團及中集租賃簽訂了《股權轉讓協議》；同日，公司及公司全資控股子公司中國國際海運集裝箱(香港)有限公司(“中集香港”)與深圳資本集團、天津凱瑞康及中集租賃簽訂了《增資協議》。
《股權轉讓協議》及《增資協議》共同約定，深圳資本集團、深圳能源集團及天津凱瑞康作為戰略投資者擬通過受讓老股及增資的方式入股中集租賃。
此次交易完成後，中集租賃的註冊資本將由人民幣1,428,652,000元增至人民幣1,481,376,856.83元，深圳資本集團及深圳能源集團將合計持有其53.3185%的股權，天津凱瑞康將持有其1.2497%的股權，公司及中集香港合計持有中集租賃的股權比例將下降為45.4318%。此次交易完成後，中集租賃將不再納入集團合併報表，併成為集團的聯營公司。
通過深圳資本集團等戰略投資者的增資入股，充實了中集租賃的淨資產及現金流量，降低了中集租賃的資產負債率，有利於中集租賃未來加大新業務投放以及外部獨立融資，從而有助於加快中集租賃的發展。同時，通過調整中集租賃股東結構和持股比例，構建科學治理架構，充分利用深圳資本集團等戰略投資者帶來的產業資源和資金優勢，能夠迅速提升中集租賃的核心競爭力，從而在行業市場競爭中贏得更大的市場份額。
此次交易完成後，中集租賃將不再納入集團的合併報表，後續中集租賃將作為集團的聯營公司，繼續作為集團「製造+服務+金融」的重要部分，充分利用深圳資本集團等戰略投資者帶來的產業資源和資金優勢，更好的支持集團製造產業轉型升級，並繼續為集團創造投資收益。
集團預計不會通過此次交易實現投資收益，最終以審計報吿為準。此次交易完成後，集團的資產負債率將有所降低，同時集團擬將股權轉讓所得款項用作集團的一般營運資金。後續，集團可以將資源聚焦及注入到其他優勢產業以及創新業務中，更好的支持集團製造業產業轉型升級。
