寶鷹股份(002047.SZ)：獨立董事劉雪生親屬短線交易及致歉
格隆匯11月23日丨寶鷹股份(002047.SZ)公佈，公司於近日收到公司獨立董事劉雪生及其親屬出具的《關於短線交易寶鷹股份股票的情況説明及致歉聲明》，劉雪生的兒子劉淡奇於2021年11月18日至2021年11月19日期間存在買賣公司股票的行為，根據《中華人民共和國證券法》等相關規定，上述交易構成短線交易。
經核查劉淡奇的證券賬户交易記錄，劉淡奇的個人證券交易賬户於2021年11月18日至2021年11月19日期間交易了公司股票，具體情況如下：
劉淡奇上述交易公司股票的行為構成短線交易，所得收益為13元(計算方法：賣出價格*短線賣出股份-買入價格*短線買入股份=3.68元/股*100股-3.55元/股*100股=13元)。截止本公吿披露日，劉淡奇未持有公司股票。
經研究，本次事項的處理情況及已採取的措施如下：
1、經核查，本次短線交易行為系劉淡奇不瞭解相關法律法規的規定，根據對二級市場的判斷做出的自主投資行為，公司獨立董事劉雪生事先並不知曉此次交易，交易前後亦未吿知劉淡奇關於公司經營的相關情況或其他內幕信息，劉淡奇也未就買賣股票事項徵詢劉雪生的意見，本次短線交易不存在因獲悉內幕信息而交易公司股票謀求利益的情形，亦不存在利用短線交易謀求非法利益的目的。
劉雪生及其親屬劉淡奇先生已充分認識到上述違規交易的嚴重性，就此對公司和市場帶來的不良影響，向公司及廣大投資者致以誠摯的歉意。劉雪生承諾未來將進一步加強學習相關法律法規並對近親屬進行宣導教育，規範本人及近親屬買賣公司股票的行為，自覺維護證券市場秩序，杜絕此類情況再次發生。
同時劉雪生及近親屬承諾將自覺遵守《證券法》第四十四條關於禁止短線交易的規定，自最後一筆買入公司股票之日起六個月內不賣出公司股票，自最後一筆賣出公司股票之日起六個月內不買入公司股票。
2、依據《證券法》第四十四條規定，本次短線交易所獲盈利13元已上交至公司。
3、公司董事會就本次短線交易行為給公司和市場帶來的不良影響向廣大投資者致以誠摯的歉意，公司董事會將進一步要求全體董事、監事、高級管理人員、持有公司股份5%以上的股東及上述人員的近親屬認真學習《證券法》《股票上市規則》《深圳證券交易所上市公司規範運作指引》《上市公司股東、董監高減持股份的若干規定》《股份變動管理規則》等相關法律法規、規範性文件，切實管理好股票賬户，嚴格規範交易公司股票的行為，杜絕此類情況再次發生。
