西部黃金(601069.SH)：新疆有色擬收購新疆美盛70%股權及新增避免潛在同業競爭承諾
格隆匯11月22日丨西部黃金(601069.SH)公佈，公司控股股東新疆有色擬收購新疆美盛70%股權，新疆美盛目前持有的卡特巴阿蘇金銅多金屬礦在未來完成探礦權轉採礦權後，若開展實際生產經營，會涉及金的生產和銷售業務，將與西部黃金存在同業競爭，針對可能存在的潛在同業競爭，新疆有色進一步承諾如下：
“本公司承諾持有新疆美盛期間，僅進行不以生產經營為目的的投資培育，不進行實際的礦山生產經營活動、不通過礦山生產經營獲取經營收益，不從事與西部黃金主營業務相同或相似的生產經營活動和業務。
本公司將在本次收購交易正式交割(以新疆有色收購的新疆美盛股權辦理完畢工商變更登記手續為準)完成後與西部黃金簽署託管協議，將相關資產所對應的除所有權及處分權外的其他股東權利委託西部黃金管理，並按照市場價格向西部黃金支付管理費用。委託管理期間為自承諾人與西部黃金簽署託管協議之日起至礦山實現正式生產經營、產生業務收益之日止，上述委託管理期間若產生任何業務收益承諾人將無償轉讓給西部黃金。
本公司將積極促成在本次收購交易正式交割完成後三十六個月內，完善探礦權轉採礦權的審批手續、礦山開工建設相關審批手續、開展礦山生產所需的可行3性研究、工程設計、前期施工籌備工作，消除礦山生產的不確定性風險，並在礦山實現正式生產經營、產生業務收益前，採取如下方式之一解決可能產生的同業競爭問題：A、根據上市公司監管規則和國資監管要求，以國有資產管理部門核准或備案的評估結果為基礎，在不高於承諾人收購及培育資產的相關成本的前提下，雙方協商確定轉讓價格由西部黃金優先購買相關資產。B、如屆時西部黃金股東大會(關聯股東迴避表決)未能審議通過優先受讓事宜或相關資產的評估結果未獲得國有資產管理部門的核準或備案，承諾人將在十二個月內向無關聯的第三方轉讓相關資產。
本公司將嚴格履行已出具的《關於避免同業競爭的承諾函》，如有任何違反上述承諾的事項發生，本公司願承擔由此給西部黃金造成的全部損失。”
