毛記葵涌(01716.HK)成立倆合營Mofargo及Bad Ltd
格隆匯11月19日丨毛記葵涌(01716.HK)公吿，於2021年11月19日，MCBL（公司的間接全資附屬公司）、HBL及HBL股東訂立：(i)股東協議一，內容有關成立Mofargo，該公司將主要從事經營網購平台(www.mofargo.com)以銷售海外品牌的時裝及相關產品。合營企業一的已發行股本為400萬港元，合營企業一將分別由MCBL及HBL擁有60%及40%權益。
並訂立股東協議二，內容有關成立Bad Ltd，該公司將主要於其網上商店(www.badltd.com)從事銷售包含廣泛產品的創意盒裝禮品，為大眾送禮增添選擇及趣味。合營企業二的已發行股本為400萬港元，合營企業二將分別由MCBL及HBL擁有60%及40%權益。該等合營企業各自仍將為公司的間接非全資附屬公司，且其財務業績將於集團財務報表中綜合入賬。
根據股東協議二的條款，倘Bad Ltd.的營運資金不足以滿足其一般業務營運需求而需要額外資金，MCBL及HBL各自將盡合理努力向Bad Ltd.提供金額分別不超過240萬港元及160萬港元的股東貸款。
於2021年11月19日，Blackpaper（公司的間接全資附屬公司）與HBL及HBL股東訂立HBL貸款協議，據此Blackpaper已同意向HBL提供金額為160萬港元及按1.5%年利率計息的HBL背對背貸款，並僅供HBL向BadLtd.提供HBL股東貸款。
為多元化營運及收入來源，集團計劃進軍網上購物業務，當中集團可利用其透過數據分析以分析消費者喜好的專長、其對目標受眾的整體覆蓋範圍及數碼能力，更有效地於該等合營企業的網上商店上營銷產品，並透過各種營銷活動協助建立該等合營企業的網上商店的品牌知名度。因此，董事認為集團的專長與網上購物業務的營運相關且相輔相成。
就該等合營企業的管理而言，MCBL負責協助設計及營銷該等合營企業的網上商店，以及該等合營企業的品牌設計，而HBL負責為該等合營企業的網上商店提供支援、與網上商户及客户磋商及溝通、採購該等合營企業網上商店銷售的產品，以及管理該等合營企業的物流及倉庫的運作。HBL股東透過經營HBL關聯公司於經營及管理網上購物業務方面累積豐富經驗，並將參與該等合營企業的日常管理及營運。
