鴻偉亞洲(08191.HK)擬1600萬港元收購Champion Commence 全部股份
格隆匯11月19日丨鴻偉亞洲(08191.HK)公吿,於2021年11月19日,買方Hong Wei Pacific Limited(公司全資附屬公司)與賣方Great Success Investment Holdings Limited訂立買賣協議,據此,買方有條件同意購買及賣方有條件同意出售目標公司Champion Commence Limited全部股份及銷售貸款,總代價約為1600萬港元。
目標公司為於英屬處女羣島註冊成立投資控股有限公司,現時由賣方全資及實益擁有。於本公佈日期,目標公司持有MMRChampion全部已發行股份,而獨立第三方鄭茗享持有MMR Five全部已發行股份。重組完成後,MMR Champion將持有MMR Five全部已發行股份。MMR Champion及MMR Five各自為分別於香港及馬來西亞註冊成立投資控股公司。
於公佈日期,MMRFive主要資產為該等物業,該等物業由MMR Five根據三份由MMRFive與物業開發商TSA LAND SDN.BHD.訂立日期為2021年11月九日買賣協議,按總購買價約8.6百萬令吉(相當於約16百萬港元)收購。
MMR Five對該等物業的業權擁有全部合法及實益權益,不附帶任何產權負擔。該等物業為標的開發項目MM Residency(總地盤面積約為14,536平方米及屬於永久土地使用權)項下位於Melawati, KualaLumpur, Malaysia BlockR1,MM Residency三處服務式公寓單位(單位編號為12樓12-1號,13A樓13A-1號及16樓16-1號),總建築面積為557.41平方米。
集團將該等物業用作投資目的,倘該等物業於日後增值,集團可能獲益於任何長期資收益。收購事項對於集團而言屬一次極具吸引力投資機遇,為集團於馬來西亞業務發展提供空間,並令集團可於馬來西亞房地產市場尋求進一步投資機遇。
董事認為,經考慮中國市場競爭極為激烈及進行進一步擴張機會有限,收購事項將可令集團進軍馬來西亞,該市場乃具有增長潛力發展中市場且受益於中國一帶一路倡議,從而在地理領域分散集團業務風險及擴大集團業務規模、收益及客户基礎,令公司及其股東長期獲益。
