漢邦高科(300449.SZ)：公司實控人收到北京證監局警示函
格隆匯11月19日丨漢邦高科(300449.SZ)公佈，公司於近日收到公司實控人王立羣轉來的中國證券監督管理委員會北京監管局下發的《關於對王立羣採取出具警示函行政監管措施的決定》(【2021】181 號)。
警示函主要內容如下：
經查，你作為北京漢邦高科數字技術股份有限公司(以下簡稱漢邦高科或公司)持股5％以上股東、董事及總經理，在漢邦高科首次公開發行時承諾在公司任職期間每年轉讓的股份不超過所持有股份總數的25%。2021年5月21日至5月22日，你持有的2399.58萬股公司股份被司法拍賣，佔你持有公司股票數量的39.37%，該事項導致你違反了前述承諾。
2021年6月17日至7月13日期間，你持有的292.06萬股股份以集中竟價方式被強制平倉，但未在首次賣出的十五個交易日前披露減持計劃，且此次減持屬於在公司半年報披露前30日的敏感期間買賣公司股票。
上述行為違反了《上市公司信息披露管理辦法》(證監會令第182號)第三條、《上市公司股東、董監高減持股份的若干規定》(證監會公吿[2017] 9號)第八條和《上市公司董事、監事和高級管理人員所持本公司股份及其變動管理規則》(證監公司字 [2017] 56號)第十三條的規定。根據《上市公司信息披露管理辦法》(證監會令笫182號)第五十二條、《上市公司股東、董監高減持股份的若干規定》第十四條及《上市公司監管指引第4號—上市公司實際控制人、股東、關聯方、收購人以及上市公司承諾及履行》第六條的規定，我局決定對你採取出具警示函的監督管理措施，並計入證券期貨市場誠信檔案。
王立羣收到上述警示函後，高度重視警示函中指出的問題，表示將充分吸取教訓，切實加強對《上市公司信息披露管理辦法》等相關法律法規及規範性文件的學習。公司將繼續嚴格按照相關監管要求和有關法律法規的規定及時履行信息披露義務。
