環球智能控股(00395.HK)：成立合營公司以營銷三個品牌的健康食品
格隆匯11月17日丨環球智能控股(00395.HK)宣佈，於2021年11月15日，公司全資附屬公司上海視界線與合營夥伴訂立合營協議，內容有關於中國成立合營公司及建立集團與合營夥伴之間的戰略合作。
合營公司將於中國設立，註冊資本為人民幣500萬元，分別由上海視界線及合營夥伴擁有60%及40%權益。在人民幣500萬元中，上海視界線以現金出資人民幣300萬元，並由合營夥伴以現金出資人民幣200萬元。合營公司的主要業務將為於中國營銷、推廣及銷售該等健康食品。
除了對註冊資本的現金出資外，合營夥伴已承諾授予合營公司於中國營銷、推廣及銷售該等健康食品的權利，以及使用所有相關知識產權(包括商標、專利、版權及商業祕密)以營銷、推廣及銷售該等健康食品的權利。合營夥伴亦將為合營公司引入銷售及營運人員，並將利用其客户羣、銷售網絡以及專業知識及經驗，協助合營公司的業務發展。授予合營公司上述權利的初步期限將自合營公司成立當日起至2024年12月31日止，除非上海視界線或合營公司於初步期限屆滿前30天內書面通知合營夥伴，表示其無意延長該期限，否則該期限將自動延長至2027年12月31日。
公吿稱，合營夥伴是健康食品、護膚品、個人護理用品及其他保健產品的製造商及分銷商，主要於中國銷售及分銷該等產品。該等健康食品是合營夥伴分銷的產品之一。根據合營夥伴提供的資料，該等健康食品逐漸獲得市場認可，而近年來銷售該等健康食品所產生的收益錄得顯著增長，預計未來將持續增加。
董事會認為，集團與合營夥伴之間於合營協議項下擬建立的戰略合作將令集團能夠(a)分散其收益來源，並擴大集團的業務營運；(b)透過該等健康食品的銷售及分銷，擴展集團與健康食品行業相關的線上線下(O2O)商務業務；及(c)藉着(i)集團的貿易專業知識及財務資源；及(ii)合營夥伴的優質產品、該等健康食品的卓越往績記錄、客户羣及銷售網絡的優勢，提高於中國迅速增長的健康食品市場的競爭力及影響力，以上各項均可促進集團的業務並改善其財務狀況。
