西藏珠峯(600338.SH)：簽署的投資協議系公司與阿根廷薩爾塔省政府經初步磋商後達成的無強制約束效力的合作協議
格隆匯11月17日丨西藏珠峯(600338.SH)公佈，公司於2021年11月16日下午，在重慶市舉行的第十四屆中國—拉美企業家高峯會(“高峯會”)上與阿根廷共和國薩爾塔省政府簽署了《薩爾塔省鹽湖資源工業化開發項目投資協議》。當晚出現了媒體報道，現將有關風險提示如下：
此次簽署的《投資協議》系公司與阿根廷薩爾塔省政府經初步磋商後達成的無強制約束效力的合作協議，其中約定的“項目計劃在2021年底前開工建設，預計在2022年底前竣工”、“並計劃投資不少於10億美元，在阿里扎羅鹽湖建設年產5～10萬噸規模碳酸鋰產品產能”等相關內容尚在實施過程中，存在無法按期實施及實施內容、金額等發生變更的風險。
《投資協議》中“公司將於2022年向阿根廷投資約7億美元”涉及的投資資金主要來源之一為公司擬進行非公開發行股票募集的資金，後續存在未能成功發行或發行不達預期，導致無法如期實施的風險。
截至2021年三季度末，公司合併資產負債表“貨幣資金”為103,387,897.80元，而本次《投資協議》中“並計劃投資不少於10億美元”金額較大，短期內公司自有資金無法滿足該項投資需求，需要結合安赫萊斯鹽湖項目投產後的滾存收益，並進行貸款等其他融資的相關工作，因此存在公司財務費用負擔加重的風險。
目前公司安赫萊斯鹽湖項目尚處於前期開發準備階段，短期內尚無法實現收益。且鋰鹽湖開發的收益取決於未來鋰鹽市場終端價格，如產品價格大幅下跌，可能存在投資收益不達預期的市場風險。同時，在後續實施過程中及項目建成後可能面臨宏觀經濟及行業環境等因素的影響，存在一定的經營風險及管理風險。
公司目前生產經營情況正常，所面臨的內外部經營環境與有色(鉛鋅)採掘行業同行業公司一致，未發生重大變化；截至11月17日收盤，公司滾動市盈率為46.13，較有色金屬礦採選業截至11月17日的滾動市盈率25.40(中證指數有限公司“證監會行業市盈率”官方數據)偏離較大。
公司及下屬公司將於2022年向阿根廷投資約7億美元，在薩爾塔省的安赫萊斯鹽湖建設年產5萬噸碳酸鋰產品的產能，項目計劃在2021年底前開工建設，預計在2022年底前竣工；同時，公司將投資1500萬美元，在2022年完成薩爾塔省阿里扎羅鹽湖的地質勘探，獲取採礦權及環評許可(EIA)；並計劃投資不少於10億美元，在阿里扎羅鹽湖建設年產5～10萬噸規模碳酸鋰產品產能。
阿根廷薩爾塔省政府則支持公司在阿根廷進行礦業投資，加快環評許可(EIA)等合規手續的批覆辦理；對公司碳酸鋰產品的開發、生產及出口等提出諮詢建議或指導意見；並對項目開發所需基礎設施建設、設備進口、投資外匯進出、技術引進等給予便利。
