安德利(603031.SH)：新設子公司擬收購亞錦科技36%的股權 其核心資產為南孚電池
格隆匯11月16日丨安德利(603031.SH)公佈，此次重組方案包括重大資產購買及重大資產出售兩部分。公司新設子公司安孚能源擬以支付現金的方式向寧波亞豐購買其持有的亞錦科技36%的股權，並以現金方式由安孚能源向陳學高出售所持安德利工貿100%股權，之後寧波亞豐將其持有的562,553,100股股份(佔亞錦科技總股本的15%)對應的表決權不可撤銷地委託給安德利行使。
此次重組中，上述兩項交易互為前提，其中任何一項交易因未獲批准而無法付諸實施，則此次交易其他各項內容均不予實施。
根據中聯國信出具的皖中聯國信評報字(2021)第293號《評估報吿》，以2021年8月31日為評估基準日，亞錦科技100%股權評估值為923576.37萬元。參考上述評估價值，經上市公司及交易對方寧波亞豐友好協商，確定亞錦科技36%股權的交易作價為24億元。
根據《15%股份表決權委託協議》，寧波亞豐同意在協議約定的委託期限內將其持有的亞錦科技562,553,100股股份(佔亞錦科技總股本的15%)對應的表決權排他、唯一且不可撤銷地委託給安德利行使。委託期限為自該協議生效之日起直至安德利或其控制的企業收購委託股份，或安德利及其控制的企業持有的亞錦科技股份比例達到51%或以上(以較早實現者為準)，其中當亞錦科技36%股權完成股份過户時《15%股份表決權委託協議》自動生效。通過本次重大資產購買及表決權委託安排，上市公司將合計控制亞錦科技51%的表決權。
亞錦科技核心資產為其控制的南孚電池，南孚電池主要從事電池的研發、生產、銷售。作為國內先進的電池科技公司，南孚電池專注於電池行業，通過保持穩定領先的產品性能，以及對於國內電池零售市場的深耕細作，堅持以科技為先導、以產品為重心、以客户為中心，南孚電池在國內鹼性電池市場佔有較大優勢。“南孚牌”鹼錳電池產品連續二十八年(1993 年-2020 年)在中國市場銷量第一1。在國內鹼性電池零售市場，“南孚牌”電池的市場佔有率和市場影響力較高，具備明顯的市場領先優勢。
此次交易是上市公司在原有業務面臨轉型升級壓力背景下，為了改善上市公司的經營狀況、增強公司的盈利能力而進行的交易。通過本次交易，上市公司將實現從傳統的百貨零售行業向市場規模龐大、發展前景廣闊的電池行業的轉型，快速切入優質賽道，並取得較為領先的市場地位，帶來穩定的營業收入和利潤，有利於提升公司的資產質量、整體持續盈利能力和未來發展潛力。
