江龍船艇(300589.SZ)：223.803萬美元的合同未收款及保證金的收回存在較大不確定性
格隆匯11月14日丨江龍船艇(300589.SZ)公佈，公司於2019年6月25日與Birdon Pty Ltd (“Birdon”)簽署與生產經營相關的the 35 metre Emerald ferry 合同(“合同”)。此次合同總金額為552.6萬美元 ，約定Birdon提供主要設計，由公司分包建造3艘35米鋁合金客船，船舶到達悉尼後由Birdon對其自購設備作進一步的安裝調試與海試等後交付給最終用户悉尼市交通局(“最終用户”)。
受新冠疫情在國內外爆發，以及船東對船舶的部分設計變更和供貨延遲等主要因素的影響，3艘35米鋁合金客船延遲於2020年11月9日在國內交付。
鑑於銀行保函即將到期，雙方沒有足夠的時間續開銀行保函，經公司與Birdon協商一致，雙方於2021年6月10日簽訂擔保金協議，公司於2021年6月10日將依據合同約定的應開具的銀行保函對應款項合計110.52萬美元存放至Birdon指定的律師事務所，作為項目擔保金，替代原合同約定的銀行保函。
Birdon以公司延期交付船舶以及因船舶存在質量問題致使其未能及時交付給最終用户為由，暫停支付相應款項，並於2021年11月12日郵件通知其指定的律師事務所，將前述項目擔保金合計110.52萬美元支付給Birdon，作為索賠金額。其指定的律師事務所依據擔保金協議及Birdon要求，在2021年11月12日將擔保金合計110.52萬美元加上利息減去銀行手續費後支付給Birdon。
目前雙方在合同交船是否延期，是否存在質量問題，責任劃分等方面存在較大爭議。110.52萬美元保證金被Birdon提取，不代表公司實際應承擔該損失，公司保留依據造船合同約定和雙方就爭議事項的最終責任承擔結果而向Birdon公司主張退回保證金的權利。公司已聘請專業海事律師協助處理，將根據造船合同約定積極採取措施，維護公司合法權益。
另外，公司已就該項目向中國出口信用保險公司購買了最高賠償限額為180萬美元的《短期出口信用保險特定合同保險單》，理賠條件是Birdon違約或破產，或Birdon所在國家發生政治風險。公司已經將該項目可能產生的損失等最新情況報吿中國信用出口保險公司。
該合同總金額 552.6萬美元，佔公司最近一個會計年度經審計的主營業務收入的5.89%。截至到目前為止，公司已累計收款439.317萬美元，合同未收款113.283萬美元，支付的保證金110.52萬美元，合計合同未收款及保證金223.803萬美元，佔公司最近一期經審計主營業務收入的 2.39%，利潤總額的 40.50%。前述合同未收款及保證金的收回存在較大的不確定性。倘若前述合同未收款及保證金也無法從中國出口信用保險公司得到(部分)理賠，將對公司2021年的經營業績造成一定程度的影響。
