南山控股(002314.SZ)：擬參與中國核能科技定向增發併成為其第一大股東
格隆匯11月14日丨南山控股(002314.SZ)公佈，為踐行國家“雙碳”戰略，積極參與國家新能源體系建設，同時充分利用物流園區及產業園區現有屋頂資源，嘗試並探索進入光伏新能源產業，公司全資子公司雅緻國際(香港)有限公司(“雅緻香港”)擬通過參與香港聯交所上市公司中國核能科技(00611.HK)定向增發，以每股0.882港元認購538,942,750股股份獲得其發行後29.1%的股權，併成為標的公司第一大股東，認購金額約4.75億港元。
標的公司是業內最早從事新能源發電業務的公司之一，擁有電力行業(新能源發電、風力發電)設計暨總承包、電力工程建設總承包、建築工程施工總承包等資質，累計承建新能源電站超200 座，客户包括：中電投、中廣核、中節能、大唐電力等。此外，標的公司還主編和參與了相關國標、省標、軍標、行標等9 項標準的制訂，具有技術專利 46 項，覆蓋光伏發電工程領域各個重點環節，具備國際領先的太陽能熱發電集熱場系統工裝、組裝、安裝工藝技術。標的公司曾多次獲得南京市專精特新企業、光伏 EPC 品牌價值前十名、年度影響力光伏 EPC/業主單位及光伏電站運維品牌等稱號。考慮到新能源市場潛力巨大、標的公司在行業內有較多積累，其未來具備較好的增長潛力。
公司旗下寶灣物流是一家專業從事物流基礎設施投資運營的平台，目前已在國內40多個經濟熱點城市戰略佈局了近70 座高端綜合物流園區，規劃在建及成熟運營物流設施總面積近800萬平方米。作為一家擁有核心物流倉儲設施資產的物流服務商，寶灣物流一直致力於為客户提供綜合物流解決方案，在當前“能耗雙降”的背景下，為客户提供能源供應保障顯得更為重要。此外，公司產城綜合開發業務截至今年上半年已累計獲得園區用地約155 萬平方米，規劃在建、待建及運營產業園區面積約180萬平米，隨着碳排放指標的稀缺性，產城綜合開發業務的客户也存在較強的新能源用電需求。
通過此次投資，公司一方面可以藉助標的公司在新能源發電領域的豐富經驗，拓展對寶灣物流及產業園區屋頂分佈式光伏業務的開發，為客户提供更加安全、便捷、實惠的電力服務，在增強客户粘性和美譽度同時增加業務收入；另一方面，雙方在協同拓展屋頂分佈式光伏業務的過程中還可實現區域商業資源共享，實現公司整體價值提升。
