節能元件(08231.HK)獲控股股東溢價約29.63%私有化 明日復牌
格隆匯11月11日丨節能元件(08231.HK)公吿，於2021年11月5日，要約人Lotus Atlantic Limited（為公司的控股股東）要求董事會向計劃股東提出該建議，以根據公司法第86條以協議安排方式將公司私有化，涉及註銷計劃股份及（作為代價）向計劃股東就每股計劃股份以現金支付註銷價，以及撤銷股份於聯交所GEM的上市地位。
根據該計劃，計劃股份將予註銷，而作為代價，各計劃股東將有權就每股計劃股份收取現金1.40港元的註銷價，較11月5日收市價每股1.080港元溢價約29.63%。
於本聯合公吿日期，要約人持有8510.6萬股股份，相當於公司已發行股本約70.1%。待該計劃生效後，所有計劃股份將予註銷及剔除，而計劃股份的股票其後將予註銷及不再具有作為所有權文件或憑證的效力。公司將於緊隨該計劃生效後，向聯交所申請撤銷股份於聯交所GEM的上市地位。
私有化建議的理由及裨益：該建議將給予公司更高自由度去實行長遠增長戰；股份的低流通量有可能繼續導致股價波動，使公司難以集資；為無利害關係股東提供以溢價變現投資的良機；節省上市成本及投資者關係成本，從而削減成本。
要約人為一間於英屬處女羣島註冊成立的有限公司，主要從事投資控股。除持有公司的股權外，要約人並無從事任何重大業務活動。於本聯合公吿日期，要約人由盈邦創業有限公司全資擁有，而盈邦創業有限公司則由蜆殼控股直接全資擁有。
除加快集團進軍晶圓製造的戰略計劃外，要約人並無其他計劃對集團的業務及╱或資產作出任何重大變更，或因該建議而重新部署其主要固定資產或終止聘用集團的僱員。待公司成功私有化後，要約人將審視集團的業務，其中包括集團與其分銷商及供應商的關係、產品組合、資產、企業及組織架構、資本、營運、政策、管理及員工，藉此考慮及釐定任何必要、適宜或合宜的長遠及短期變動（如有），從而以最佳方式安排及改善集團的業務及營運。
此外，公司已向聯交所申請自2021年11月12日上午九時正起恢復股份於聯交所買賣。
