微創醫療(00853.HK)：Microport NeuroTech擬引入新投資者
格隆匯11月11日丨微創醫療(00853.HK)發佈公吿，2021年11月10日，目標公司、附屬公司(即MicroPort Scientific Investment Ltd)、目標附屬公司保證人及該等投資者訂立該協議，據此：(a)該等投資者同意認購203.25萬股新發行A輪優先股，總代價約為3126萬美元；及(b)附屬公司同意向該等投資者轉讓目標公司772.04萬股普通股，代價約為1.187億美元，據此，緊隨該等交易完成後，目標公司所轉讓普通股將重新分類及重新指定為A輪優先股。
目標公司(即Microport NeuroTech Limited)為一間根據開曼羣島法律正式註冊成立及存續的獲豁免有限公司。其主要從事神經血管疾病(包括出血性卒中、腦動脈粥樣硬化及急性缺血性卒中)的治療及通路類醫療器械的研發、製造及商業化。 該等投資者包括CICC Healthcare Investment Opportunities V Limited(投資者A，其普通合夥人為中金公司的間接附屬公司)、Nectar Neuro Limited(投資者B，由Helix Capital ZHEYI Limited管理及控制) 、BVF III(BVI) Holding L.P.(投資者C，由Wenbo Xu全資擁有) 、Biolink Healthcare Investment Limited(投資者D，Hu Yibin持有100%投票權)、Star Wave Ventures Limited(投資者E，由Gao Bin全資擁有)、及Always Enterprises Limited(投資者F)。
公吿表示，本次增資及引入新投資者將為目標集團帶來進一步加強其產品研發和市場開拓所需的資金，從而有助於目標集團更好地提升其市場競爭力、拓寬市場資源，並促進快速發展。同時，本次增資及引入新投資者亦有利於進一步提升集團的品牌影響力及市場價值。
