萬盛股份(603010.SH)：福建中州擬新建三明鋰離子電解液添加劑和導電新材料項目
格隆匯11月10日丨萬盛股份(603010.SH)公佈，2021年11月10日，公司與周健、鄭輝東、海南思尚科技有限公司(“海南思尚”)、福建樺智工程技術有限公司(“福建樺智”)、福建中州新材料科技有限公司簽署了《浙江萬盛股份有限公司關於福建中州新材料科技有限公司之投資協議書》，約定：簽署《投資協議》之後，由公司向福建中州支付4000萬元誠意金；同時，福建中州辦理減資，將註冊資本由10000萬元減資到1000萬元；公司或公司實控的公司設立由其作為執行事務合夥人的股權激勵持股平台(“股權激勵平台”)，同時由跟投人員組建作為跟投平台的有限合夥(“跟投平台”)；在福建中州完成減資程序後，公司、股權激勵平台及跟投平台以投前估值4700萬元對福建中州增資11000萬元，增資後，公司對福建中州直接持股46.05%，通過股權激勵平台持股20.51%，公司合計持股66.56%(對應投資款10450萬元)，跟投平台持股3.50%(對應投資款550萬元)。
同時，福建中州擬新建“三明鋰離子電解液添加劑和導電新材料項目”，年產鋰離子電解液添加劑和導電新材料共十五種產品，合計95500噸生產裝置及配套設施、辦公樓、研發樓等，項目分二期完成：一期實現產能20500噸，建設期24個月，一期項目預計總投資額4.5億元。二期擴產至95500噸，具體進度視一期投產後市場情況再定。
公司結合自身在化工添加劑領域的積累，投資福建中州，以電解液添加劑為切入口，佈局新能源上游產業。
項目定位新能源電池材料體系關鍵功能添加劑生產。項目一期產品主要佈局VC、FEC、DTD 等主流電解液添加劑，並前瞻性多種小批量添加劑，以實現具備提供電解液複雜配方添加劑完整解決方案的能力。此外，項目一期產品佈局了替代 NMP 的綠色環保型溶劑 NNP，以順應環保要求提高的趨勢。項目一期建設將通過工藝創新，改善傳統生產工藝中存在的不足，在保證產品高品質的同時實現降本增效，大大增強產品的市場競爭力。推進項目建設的同時，福建中州將開展針對單壁碳納米管等一系列先進電池材料產業化研究，保持福建中州在電池材料領域的先進性。
項目選址福建省三明市，當地螢石礦資源儲備豐富，並圍繞螢石資源形成了氟新材料產業聚集區，氟化工產業配套齊全，原料供應有保障。目前，福建中州已完成投資備案及土地摘牌，已具備推進項目建設的基礎。
