朝雲集團(06601.HK)與山東帥克就寵物食品研發及供應鏈合作等領域開展戰略合作
格隆匯11月9日丨朝雲集團(06601.HK)發佈公吿，2021年11月8日，公司間接全資附屬公司廣州朝雲與山東帥克寵物用品有限公司(“山東帥克”)簽訂戰略合作協議及投資協議。根據戰略合作協議，廣州朝雲(及其旗下控股企業)及山東帥克(及其旗下控股企業)同意於寵物食品研發、採購、生產、供應鏈合作及資本合作等領域開展戰略合作。戰略合作協議的生效日期為2021年11月8日。
協議的詳情如下：
1.產能保障：山東帥克將作為廣州朝雲的寵物食品戰略供應商。在外協加工業務安排下，廣州朝雲承諾在同等市場條件下優先採購山東帥克的寵物食品，而山東帥克承諾向廣州朝雲提供穩定和及時的產品供應(尤其是在銷售旺季)。
2.成本管理：各訂約方同意於戰略合作期間，廣州朝雲有權享受山東帥剋核心大客户的優惠政策。
3.技術突破：各訂約方同意將共同深化寵物食品的研發合作，包括但不限於成立寵物食品研究聯合實驗室、聯合申請專利、共享第三方機構資源以及培訓研究工程師等。
4.戰略投資：廣州朝雲向山東帥克投資人民幣6690萬元。該投資由公司用於上游和下游業務的戰略性收購╱投資，以獲得外部高質量、互補技術、品牌和業務的全球發售所得款項淨額撥付。
近年來，公司一直戰略性發展寵物業務，該業務板塊的收入實現快速增長。就寵物產品類別而言，截至2020年6月30日止六個月的收入較截至2021年6月30日止六個月增加350.5%。2021年，公司成功推出貓砂產品及毛利率較高的寵物食品產品線。
公吿表示，為深化在寵物行業的佈局，公司正在尋求與行業內具有獨家經驗及專業知識的合作伙伴合作，並將山東帥克視為實現該目標的合適業務合作伙伴。作為優質寵物食品製造商，山東帥克在寵物食品行業擁有近十年經驗。董事會認為，訂立協議將使公司能夠充分利用山東帥克在寵物食品生產方面的經驗，並賦能公司在寵物行業成功發展。
