新昌創展控股(01781.HK)及共同臨時清盤人與One Oak訂立重組協議
格隆匯11月8日丨新昌創展控股(01781.HK)發佈公吿，於2021年11月8日，公司及共同臨時清盤人與One Oak訂立重組協議，據此，公司將實施重組，當中涉及重組公司的業務、債項及負債、股本架構及股本，其中包括(i)股份合併及增加法定股本；(ii)認購事項；及(iii)債權人計劃，涉及可能授出購股權及認沽期權。訂立重組協議後，公司擬向聯交所提交載有重組詳情的復牌建議，以尋求股份於主板恢復買賣。
待獲股東批准後，公司建議實施股份合併，擬“10合1”合併股份。公司進一步建議透過增設18億股合併股份，將公司法定股本由2000萬港元增至2億港元（分為20億股合併股份）。
根據One Oak（作為認購方）、公司（作為發行人）及共同臨時清盤人訂立的認購協議，公司有條件同意配發及發行，而One Oak有條件同意按認購價每股新合併股份0.1646港元認購4.86億股新合併股份。現建議One Oak將以8000萬港元認購認購股份，該款項須分別以現金方式支付予公司或通過按一元對一元的基準抵銷公司根據One Oak融資協議全部或部分應付One Oak的未償還款項支付。根據認購事項將予配發及發行的認購股份總數，佔緊隨股份合併及認購事項後公司經擴大已發行股本的90%。
根據債權人計劃，已受理計劃索償的各債權人可選擇現金期權或股票期權。此外，已受理計劃索償的各債權人可享有計劃管理人透過出售轉讓索償變現的變現所得款項。
根據重組協議以及當中所載條款及條件，就選擇股票期權的已受理計劃索償的債權人而言，公司建議(1)為選擇股票期權的債權人的利益向計劃管理人授出最多6000萬份購股權，可按期權行使價每股期權股份0.10港元（可予調整）認購新合併股份；及(2)就所授出的每份購股權，授出認沽期權，可(i)於認沽期權行使期A內按認沽期權價A每份購股權0.6667港元；及(ii)於認沽期權行使期B內按認沽期權價B每份購股權0.8333港元將購股權售回公司。授出認沽期權以授出購股權成為無條件為條件。
