瑞和股份(002620.SZ)：與東方雨虹簽訂戰略合作協議 進一步深化在光伏屋面一體化領域的合作
格隆匯11月6日丨瑞和股份(002620.SZ)公佈，公司與北京東方雨虹防水技術股份有限公司(“東方雨虹”)於近日簽訂了《戰略合作協議》，為加強合作，進一步發揮各自行業優勢，秉承“真誠合作，優勢互補，共同發展，互利雙贏”的宗旨，經雙方協商、決定建立戰略合作伙伴關係；我國光伏市場在“雙碳“戰略目標引領下將進入一個快速發展的階段，雙方將強強聯合，在光伏屋面一體化領域進一步深化業務合作。該協議經合作雙方簽字蓋章後生效，合同履行完畢自動終止，合作期限為2021年11月5日至2026年11月5日。
合作模式如下：1、雙方共同研發光伏屋面一體化工程，加強深度合作。優勢互補，形成供應鏈合作，雙方共同研發光伏屋面一體化項目服務體系。包括項目開發、方案設計、材料採購、施工合作、運維服務等。
2、雙方共同推動光伏屋面市場營銷及修繕領域拓展工作，合力共贏。東方雨虹在工民建領域和基礎建設領域、修繕領域等推廣積累了豐富的經驗，甲方在能源領域、工業建築光伏應用領域有獨特的綜合優勢，雙方可以資源共享，在新產品推廣、產品體系認證、行業標準規範助推等展開多維度多元化合作，從研發、生產、銷售、施工服務一體化，形成完整的供應鏈閉環。
3、雙方市場銷售渠道共享，共同推進TP0光伏一體化、既有建築光伏防水改造、修繕領域的市場拓展等，雙方優勢互補，同心協力，共贏未來。除工程項目類合作外，雙方擬通過採取成立“有限責任公司”“有限合夥”等法律允許方式，共同開發建設“BAPV”和“BIPV”光伏發電項目EPC工程的設計、施工。乙方負責有關“BAPV”和“BIPV”光伏發電項目屋頂防水設計方案並提供防水材料，並承接施工項目。具體項目合作由雙方另行簽署項目合作協議進行約定。
4、合作範圍：甲乙雙方約定協議有效期內，全國範圍內共同推動“BAPV”和“BIPV”光伏發電項目。同時，在雙方所轄業務渠道途徑包含的各類建築的修繕類、加固類、翻新類修繕項目，專項設備勘察技術諮詢服務事項及由此衍生的修繕材料供應及施工項目。
5、合作方式：雙方渠道相互開放，並在發展可行的基礎上，雙方可以通過採取“聯合體”或成立“有限公司”、“有限合夥”等法律允許的方式進行開發建設“BAPV”和“BIPV”光伏發電項目等。無論採取哪種合作方式，資金均為自有資金。
