通源石油(300164.SZ)：參股子公司2020年度業績承諾未完成
格隆匯11月5日丨通源石油(300164.SZ)公佈，公司2021年一直在關注海外疫情發展情況以及一龍恆業海外業務情況。進入2021年之後，隨着全球新冠疫苗接種持續推進，全球主要經濟體經濟活動逐步恢復，油氣行業反彈復甦。一龍恆業海外業務自年初以來也在緩慢恢復，並且陸續中標訂單，國內業務持續推進中海油、四川頁巖氣等項目。2021 年前三季度，一龍恆業實現收入24903.38萬元，實現淨利潤249.16萬元(以上數據未審計)。
在之前投資過程中，公司與一龍恆業及其股東簽訂了《增資協議》，其中約定一龍恆業管理層股東承諾2018年度、2019年度及2020年度淨利潤分別不低於5750萬元、6750萬元及7750萬元，並且約定一龍恆業實際完成的淨利潤未能達到業績承諾指標的90%(即2018 年度淨利潤未能達到5175萬元、2019年度淨利潤未能達到6075萬元或2020 年度淨利潤未能達到6975萬元)，一龍恆業管理層股東履行補償義務。
但是一龍恆業業務所在的阿爾及利亞、哈薩克斯坦、伊拉克等國家屬於第三世界國家，經濟實力薄弱，受疫情衝擊較大，經濟恢復緩慢，並且疫情仍在持續；同時由於我國執行限航禁行和長時間隔離等嚴格的防疫措施，以及這些國家也存在限制出行等規定，致使服務週期大大縮短，人員出差不便，工作效率低下，海外業務恢復到疫情前仍需要一段時間。不過一龍恆業訂單和市場並未丟失，待上述國內往返解除封鎖後，被壓制訂單將逐步釋放，合同執行將恢復正常，業績也將逐步反彈恢復。
截至目前，公司正在對一龍恆業2021年經營情況和未來發展狀況進行論證和評估，並且與一龍恆業管理層股東商討研究關於 2020 年業績承諾未完成的處理事宜。鑑於上述處理方案還未確定，公司將嚴格按照信息披露要求，待公司與一龍恆業管理層股東協商明確處理結果後，公司再行披露進展情況。敬請廣大投資者關注後續進展情況，注意投資風險！
