華能國際(600011.SH)：子公司擬參設多個合資公司
格隆匯11月3日丨華能國際(600011.SH)公佈，為提高公司清潔能源裝機佔比，優化產業結構以及滿足山東省新能源項目的開發建設要求，擬成立冠縣公司、濰坊公司、福山公司、海陽公司及菏澤公司：
1、公司控股子公司山東公司、山東公司全資子公司香港投資公司於2021年11月3日與香港財資公司簽署了《冠縣項目合資協議》，山東公司、香港投資公司及香港財資公司共同出資設立冠縣公司。山東公司將出資人民幣4.33億元，香港投資公司將出資5.378億元人民幣等值美元，香港財資公司將出資5.23億元人民幣等值美元。
本次交易完成後，山東公司持有冠縣公司29%的權益，香港投資公司持有冠縣公司36%的權益，香港財資公司持有冠縣公司35%的權益。
2、山東公司、香港投資公司於2021年11月3日與香港財資公司簽署了《濰坊項目合資協議》，山東公司、香港投資公司及香港財資公司共同出資設立濰坊公司。山東公司將出資人民幣8000萬元、香港投資公司將出資1.8億元人民幣等值美元，香港財資公司將出資1.4億元人民幣等值美元。
本次交易完成後，山東公司持有濰坊公司20%的權益，香港投資公司持有濰坊公司45%的權益，香港財資公司持有濰坊公司35%的權益。
3、山東公司於2021年11月3日與香港財資公司簽署了《福山項目合資協議》，山東公司及香港財資公司共同出資設立福山公司。山東公司將出資人民幣9200.47萬元，香港財資公司將出資4954.10萬元人民幣等值美元。
本次交易完成後，山東公司持有福山公司65%的權益，香港財資公司持有福山公司35%的權益。
4、山東公司於2021年11月3日與香港財資公司簽署了《海陽項目合資協議》，山東公司及香港財資公司共同出資設立海陽公司。山東公司將出資人民幣2.75億元，香港財資公司將出資1.48億元人民幣等值美元。
本次交易完成後，山東公司持有海陽公司65%的權益，香港財資公司持有海陽公司35%的權益。
5、山東公司於2021年11月3日與香港財資公司簽署了《菏澤項目合資協議》，山東公司及香港財資公司共同出資設立菏澤公司。山東公司將出資人民幣8422.36萬元，香港財資公司將出資4535.11萬元人民幣等值美元。
本次交易完成後，山東公司持有菏澤公司65%的權益，香港財資公司持有菏澤公司35%的權益。
本次交易完成後，山東公司將對冠縣公司、濰坊公司、福山公司、海陽公司及菏澤公司合併報表。
