南嶺民爆(002096.SZ)：擬收購易普力100%股份 確立國內民爆行業龍頭地位 明起復牌
格隆匯11月2日丨南嶺民爆(002096.SZ)公佈，公司擬通過發行股份的方式，購買交易對方合計持有的易普力100%股份。
截至預案摘要簽署日，鑑於標的公司的審計和評估工作尚未完成，標的公司的最終交易價格及發行股份數量均尚未確定。此次交易標的資產的交易價格將以符合相關法律法規要求的資產評估機構出具的評估報吿所載明的、且經有權國有資產監督管理部門備案的評估值為依據，由交易各方協商確定，並將在重大資產重組報吿書中予以披露。
同時，公司擬向不超過35名符合條件的特定投資者，以詢價的方式非公開發行股份募集配套資金，募集配套資金總額不超過此次發行股份購買資產交易價格的100%，發行股份數量不超過此次交易前上市公司總股本的30%，最終的發行數量及價格將按照中國證監會的相關規定確定。
此次發行股份募集配套資金扣除發行費用後擬用於補充上市公司流動資金或償還債務等用途，其中用於補充上市公司流動資金和償還債務的比例不超過此次交易對價的 25%或募集配套資金總額的 50%，募集配套資金具體用途及金額將在重大資產重組報吿書中予以披露。在本次發行股份募集配套資金到位之前，上市公司可根據實際情況以自籌資金先行支付，待募集資金到位後再予以置換。
此次交易完成後，公司控股股東將變更為葛洲壩，實際控制人將變更為國務院國資委。此次重組標的資產的交易價格尚未最終確定，根據標的公司未經審計的財務數據初步判斷，預計標的公司相關財務數據占上市公司相應財務數據的比例超過100%，達到《重組管理辦法》規定的重組上市標準。因此，此次交易構成重組上市。
此次交易擬購買的標的公司易普力系集民爆物品生產、銷售、爆破和礦山開採服務於一體的專業化公司，主要業務為民用爆破器材的研發、生產、銷售及爆破服務，與公司屬於同行業。
此次交易前，公司主要從事民爆器材、軍品的生產、研發與銷售，提供工程爆破服務等業務。通過多年在以湖南為核心的區域內深耕細作，公司已經覆蓋了在民爆業務領域的研發、生產、銷售和爆破服務的全產業鏈條。產品市場已經佈局華南、西南、西北等區域。作為具備區域性行業核心地位的民爆企業,公司產品與服務主要包括工業炸藥、工業雷管、工業導爆管及工業導爆索、軍用雷管等產品和一體化的民爆系統集成服務。
此次交易完成後，公司將成為民爆行業產能規模第一的上市公司，產能結構得到極大優化，有效避免了包裝炸藥許可產能核減風險，公司規模優勢及行業競爭優勢將更加明顯。除許可產能方面的明顯提升外，易普力作為國內領先的民爆行業龍頭，依託中國能建集團作為世界領先的綜合能源建設央企優勢地位，境內外產業佈局完善，國內市場分佈重慶、新疆、四川、廣西、湖北等二十多個省(區)，國際市場分佈東南亞、非洲等地區，此次交易完成後上市公司市場佈局將得到極大擴展，銷售渠道將不再侷限於現有水平。通過此次交易，公司將確立國內民爆行業龍頭地位。
根據深圳證券交易所的相關規定，經公司申請，公司股票將於2021年11月3日開市時起復牌。
