赤峯黃金(600988.SH)：擬收購金星資源62%股權 以取得加納Wassa金礦控制權
格隆匯11月1日丨赤峯黃金(600988.SH)公佈，公司於多倫多時間2021年10月31日與Golden Star Resources Limited(“金星資源”)簽署《安排協議》，公司擬通過全資子公司赤金國際(香港)有限公司(“赤金香港”)以每股3.91美元的價格，以現金方式收購金星資源全部已發行和流通的普通股的62%，交易對價約2.91億美元，約合人民幣18.62億元(以2021年10月29日中國外匯交易中心公佈的人民幣匯率中間價1美元對人民幣6.3907元計算，下同)，赤峯黃金為赤金香港本次交易提供母公司保證擔保；第三方出資比例為38%，即1.79億美元，約合人民幣11.41億元；各方根據出資比例獲得相應比例的目標公司股份。
公吿顯示，公司確立了“以金為主”的發展戰略，堅持內部增儲與外延擴張並舉的發展策略，在黃金資源儲量日益稀缺及黃金需求旺盛相結合的背景下，通過本次收購標的股權取得加納Wassa金礦控制權，公司可以快速獲得優質資源、提高黃金資源儲備。
據悉，2018年公司完成收購位於老撾Sepon銅金礦的海外併購，邁出國際化第一步；此次交易完成後，公司將進入西非這一國際重要產金地區，該地區具備豐富的黃金資源儲量和良好穩定的礦業監管環境，多個國際知名礦業公司在加納擁有和運營大型金礦，加納已經成為非洲第一大產金國。此次併購將進一步拓展公司國際化佈局空間，為公司可持續發展奠定堅實基礎。
Wassa金礦是一座在產礦山，產量和資源規模大，選冶綜合回收率高，運營成本低，且正處於良好的生命週期，現金流良好。預計2022年可生產黃金4.5噸以上。根據目標公司已發佈的PEA(初步經濟性調查)報吿，礦山經產能提升改造後，黃金產量將有顯著提升。公司將充分利用多年積累的黃金開採技術及管理經驗，在Wassa礦山未來運營過程中深挖資源潛力，進一步降低成本，提高運營收益，增強公司持續經營能力和盈利規模。
