達瑞電子(300976.SZ)：與派諾資本圍繞半導體顯示產業鏈進行全方位戰略合作
格隆匯11月1日丨達瑞電子(300976.SZ)公佈，公司與寧波派諾股權投資有限公司(“派諾資本”)於2021年10月29日簽訂了《戰略合作協議》。雙方承諾在合法合規的前提下，本着強強聯合、優勢互補、合作創新、共享雙贏的總體合作原則，圍繞半導體顯示產業鏈進行全方位戰略合作，建立全面、長期的戰略合作伙伴關係。
甲方：東莞市達瑞電子股份有限公司，乙方：寧波派諾股權投資有限公司；合作內容如下：
(1)甲方認可乙方在半導體顯示行業深入的投研能力，支持乙方關於半導體顯示行業的投資事業，甲方或其子公司將利用自有資金作為有限合夥人參與乙方主導的投資基金。
(2)甲乙雙方將不定期開展戰略研討會議，分享行業動態，交流產業發展預期及項目相關信息。甲方將積極配合解決乙方對項目的盡職調查、投資決策和投後賦能中遇到的問題和需求，並結合自身在半導體顯示和AR 等產業優勢提供相關諮詢建議。
(3)甲方依託乙方的行業經驗、管理和資源優勢，拓展投資渠道，將有助於公司抓住國內半導體顯示行業發展的機遇，進一步實現產業協同，推進產業與資本的有效融合；同時，可加強與客户的良好合作關係，培育新的利潤增長點，包括但不限於原材料、加工、自動化等領域，提高自身行業地位和產品優勢，從而提升公司的綜合競爭能力。
(4)乙方將建議並積極促成所投項目與甲方形成合作關係，乙方將結合甲方的產業地位和業務情況積極找尋合適的市場拓展機會以及收(並)購交易機會。於適當交易機會出現時甲方將優先考慮與乙方共同成立相關產業基金。
(5)甲乙雙方將以此次合作為契機，深入合作、探討半導體顯示、AR/VR、新能源產業的投資機遇，基於雙方認可基礎上甲方將考慮持續成為乙方出資人。
該《戰略合作協議》的簽署符合公司的長遠發展戰略，將有助於公司抓住國內半導體顯示行業發展的機遇，進一步實現產業協同，推進產業與資本的有效融合，實現合作雙方資源共享和優勢互補，進一步增強公司綜合競爭力。
