山東赫達(002810.SZ)：部分董事高管致歉並終止減持計劃
格隆匯11月1日丨山東赫達(002810.SZ)公佈，公司於2021年9月17日披露了《關於控股股東及部分董事、高級管理人員減持股份的預披露公吿》(公吿編號：2021-059)， 董事楊丙剛、副總經理畢耜新計劃在公吿披露之日起15個交易日後的6個月內以中國證監會及深圳證券交易所允許的方式(包括大宗交易、集中競價及協議轉讓)減持公司股份不超過77.7萬股(佔公司總股本比例0.2276%)。
公司於2021年10月29日收到楊丙剛出具的《關於終止股份減持計劃的吿知函》及畢耜新出具的《關於減持計劃完成的吿知函》。
楊丙剛減持股份情況如下：
楊丙剛因操作時將買賣方向輸入錯誤，造成上述行為違反了《證券法》《深圳證券交易所上市公司規範運作指引》的相關規定，構成短線交易。
畢耜新減持股份情況如下：
畢耜新因操作失誤導致賣出股份207,100股，超出減持計劃100股，但未違反其在公司首次公開發行時的承諾“在任職期間每年轉讓的股份不超過本人所持公司股份總數的百分之二十五”。
楊丙剛、畢耜新本次減持誤操作，違反了《深圳證券交易所上市公司規範運作指引》及《上市公司股東及董事、監事、高級管理人員減持股份實施細則》的相關規定，經公司自查，該行為系楊丙剛、畢耜新誤操作導致的，未發生在公司披露定期報吿的敏感期內，不存在因獲悉內幕信息而交易公司股票的情況，亦不存在利用短線交易謀求利益的目的。
楊丙剛本次短線交易，賣出均價49.29元/股，買入均價49.46元/股，未產生收益。
畢耜新本次減持，超出減持計劃100股，但未違反其在公司首次公開發行時的承諾“在任職期間每年轉讓的股份不超過本人所持公司股份總數的百分之二十五”。
為嚴厲懲戒此次違規交易行為，公司要求董事楊丙剛提前終止本次減持計劃，同時對董事楊丙剛、副總經理畢耜新予以公司內部警吿處分。
楊丙剛、畢耜新此次違規交易系誤操作造成不具有主觀故意，其二人已深刻認識到了本次違規事項的嚴重性，因本次誤操作而帶來的不良影響致以誠摯的歉意。
