中國交通建設(01800.HK)擬3.44億元收購振華重工所持中交天和16.52%股權
格隆匯11月1日丨中國交通建設(01800.HK)公佈,公司以非公開協議方式收購關聯方振華重工(600320.SH)所持有的中交天和16.52%的股權,交易對價約為3.44億元。中交天和成立於2010年4月2日,主要從事盾構機系統集成設計、研發與製造、全斷面硬巖掘進機(TBM)系統集成設計、研發與製造等。
該次收購振華重工所持中交天和16.52%股權,可有效避免因關連附屬企業性質導致的關聯交易風險。中交天和在研發、創新等技術領域,以及產業鏈延伸服務方面都具有較好的競爭優勢,並能夠與公司內施工單位產生較好的協同。公司此次增持股權,有利於進一步增加控制力,並支持中交天和的高質量發展。
